Other Negotiations; Brokers. Neither the Equityholders, nor the Company, nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders or the Company or any such Affiliate) have entered into any agreement or had any discussions with any third party regarding any transaction involving the Company which could result in the Company, Purchaser or its stockholders, or any officer, director, employee, agent or Affiliate of any of them, being subject to any claim for liability to said third party as a result of entering into this Agreement or consummating the transactions contemplated hereby or thereby. No agent, broker, finder, investment banker, financial advisor or other Person will be entitled to any fee, commission or other compensation in connection with the transactions contemplated by this Agreement on the basis of any act or statement made by the Equityholders, the Company or any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders, the Company, or any such Affiliate.

Neither the EquityholdersCompany, nor the Companyany Subsidiary, nor any of their respective Affiliates (nor any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders or the Company Company, any Subsidiary or any such Affiliate) have (i) has entered into any agreement that conflicts with any of the transactions contemplated by this Agreement, or (ii) has entered into any agreement or had any discussions with any third party regarding any transaction involving the Company or any Subsidiary which could result in the CompanyPurchaser, Purchaser or its stockholderstheir respective members, or any officerthe general or limited partners, directormembers, employeeofficers, agent directors, employees, agents or Affiliate Affiliates of any of them, them being subject to any claim for liability to said third party as a result of entering into in connection with this Agreement or consummating the consummation of any of the transactions contemplated hereby or therebyhereby. No agent, broker, finder, investment banker, financial advisor or other similar Person will be entitled to any fee, commission or other compensation in connection with any of the transactions contemplated by this Agreement on the basis of any act or statement made or alleged to have been made by the EquityholdersCompany, the Company or any Subsidiary, any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders, the Company, any Subsidiary or any such Affiliate.

No agent, broker, finder, investment banker, financial advisor or other Person will be entitled to any fee, commission or other compensation in connection with the transactions contemplated by this Agreement on the basis of any act or statement made by the Equityholdersany Seller, the Company or any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholdersa Seller, the Company, or any such Affiliate.

No agent, broker, finder, investment banker, financial advisor or other similar Person will be entitled to any fee, commission or other compensation in connection with any of the transactions contemplated by 11 12 this Agreement on the basis of any act or statement made or alleged to have been made by the EquityholdersCompany, the Company or any Subsidiary, any of their respective Affiliates, or any investment banker, financial advisor, attorney, accountant or other Person retained by or acting for or on behalf of the Equityholders, the Company, any Subsidiary or any such Affiliate.
