LEGAL DOCUMENTS Offeror should submit any agreement for products and/or services which may be required by their organization to enter into a contract with Xxxxxxx County. The awarded vendor will be required to execute an agreement with Xxxxxxx County which finalizes the terms and conditions set forth in their response, best and final offer, and any negotiations between the Offeror and Xxxxxxx County. The agreement is subject to review and amendment by the Xxxxxxx County District Attorney’s Office.
Other Officers Such other officers as the Board of Directors may choose shall perform such duties and have such powers as from time to time may be assigned to them by the Board of Directors. The Board of Directors may delegate to any other officer of the Corporation the power to choose such other officers and to prescribe their respective duties and powers.
Union Officials 1. The Union will notify the Company in writing of the election, appointment, or removal of Union shop xxxxxxx(s). The District Lodge will notify the Company in writing of the Committee members at that location.
Municipal and School Board Offices (1) Employees may seek election to municipal and school board offices, provided that:
Corporate Documents Such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower, the authorization of the Transactions and any other legal matters relating to the Borrower, this Agreement or the Transactions, all in form and substance satisfactory to the Administrative Agent and its counsel.
Resolutions Copies of resolutions of the Board of Directors of each Credit Party approving and adopting the Credit Documents to which it is a party, the transactions contemplated therein and authorizing execution and delivery thereof, certified by a secretary or assistant secretary of such Credit Party to be true and correct and in force and effect as of the Closing Date.
