Other Required Documentation. All other documents and legal matters in connection with the transactions contemplated by this Agreement shall have been delivered or executed or recorded and shall be in form and substance satisfactory to FINOVA, including, without limitation, a certificate of the secretary of each Borrower as to board resolutions and the incumbency of officers.
