Common use of Other Sources Clause in Contracts

Other Sources. The Company’s obligation to indemnify or advance Expenses hereunder to Indemnitee who is or was serving at the request of the Company as a director, officer, trustee, partner, managing member, fiduciary, board of directors’ committee member, employee or agent of any other Enterprise shall be reduced by any amount Indemnitee has actually received as indemnification or advancement of Expenses from such Enterprise.

Other Sources. The Company’s obligation 's obligation, if any, to indemnify or to advance Expenses hereunder expenses to any Indemnitee who was or is or was serving at the its request of the Company as a director, officer, trustee, partner, managing member, fiduciary, board of directors’ committee member, employee or agent of any other Enterprise another Company, partnership, joint venture, trust, enterprise or nonprofit entity shall be reduced by any amount to the extent such Indemnitee has otherwise actually received as indemnification payment (under any insurance policy or advancement otherwise) of Expenses from such Enterprisethe amounts otherwise payable by the Company.
