Other Undertakings. The Project Implementing Entity shall: (a) participate in a comprehensive review (Midterm Review) carried out by the Recipient jointly with the Association, no later than thirty (30) months after the Effective Date, or such later date as may be agreed upon by the Recipient and the Association, to assess the status of the GPHA Project Activities implementation. Such review shall be aimed at: (i) documenting progress towards the Project objective, including as measured against the performance indicators set forth in Section II of the Schedule to this Agreement; (ii) identifying and resolving obstacles to the GPHA Project Activities’ implementation; and (iii) adjusting, in agreement with the Association, targets and corresponding activities to reflect progress achieved in the GPHA Project Activities implementation as of the date of review; (b) invite and take all actions it considers necessary to ensure the participation of representatives of donors interested in the GPHA Project Activities implementation to participate in such Midterm Review; (c) not later than three (3) months before such review, or such later date as may be agreed upon by the Recipient and the Association, provide all information needed by the Recipient to prepare, or prepare and furnish to the Association, a report, in scope and detail satisfactory to the Association, needed to undertake the review, integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section on the progress achieved in the carrying out of the GPHA Project Activities during the period preceding the date of the said report and setting out the measures recommended to ensure the efficient carrying out of the GPHA Project Activities and the achievement of the objective thereof during the period following such date; and (d) review, jointly with the Association and the Recipient, the report referred to in paragraph (c) of this Section and promptly thereafter take all measures required to ensure the efficient completion of the GPHA Project Activities and the achievement of the objective of the Project, based on the conclusions and recommendations of the said report and the Association’s views on the matter.

Other Undertakings. The Project Implementing Entity 1. Without limitations upon the provisions of Article II of this Agreement, and consistent with the ESAP 3 inception report approved by the World Bank and the Steering Committee on February 1, 2019, the Recipient shall:

(b) invite prepare and take all actions it considers necessary submit to ensure the participation of representatives of donors interested in World Bank an Operations Manual, acceptable to the GPHA Project Activities implementation to participate in such Midterm ReviewWorld Bank, including a financial management and procurement management system for each Sub-project, including innovation activities;
(c) not later than three ensure the effective and timely submission of quarterly and annual reports and other materials to the Steering Committee, the Technical Committee and the World Bank;
(3d) months before such reviewcarry out all financial management and procurement functions associated with the Project in compliance with the World Bank procurement and financial management requirements set out in this Agreement;
(e) establish clear criteria for the selection and contractual arrangements relating to the Sub-projects, or such later date and conduct supervision, monitoring and evaluation of the Sub-projects to ensure and capture Project results;
(f) develop and implement a plan for SA training and capacity building of SAIPs, service providers, relevant government officials and other stakeholders, focusing on immediate and long-term goals and opportunities for institutionalization of SA processes and strengthening of the SA system in the government structures;
(g) ensure that lessons learned from pilots and/or innovations carried out under Part 1(b) of the Project are well documented and, where appropriate and as may be agreed upon by the Recipient Technical Committee and the AssociationSteering Committee, provide all information needed integrated or mainstreamed into regular ESAP3 implementation;
(h) develop and implement by the Recipient to prepareJune 30, or prepare and furnish to the Association2019, a reportmonitoring and evaluation program, in scope and detail satisfactory to the AssociationWorld Bank, needed that includes woreda-level data collection, continuous monitoring of Project performance indicators and a management information system, to undertake guide implementation, capture results and share lessons;
(i) prepare and disseminate reports and publications emanating from the reviewProject activities to the Steering Committee and Technical Committee, integrating the results of the monitoring relevant government entities and evaluation activities performed pursuant to paragraph (a) of this Section on the progress achieved in the carrying out of the GPHA Project Activities during the period preceding the date of the said report and setting out the measures recommended to ensure the efficient carrying out of the GPHA Project Activities and the achievement of the objective thereof during the period following such datedonors; and
(dj) reviewcoordinate and manage the assessment of experiences and sharing of learning outcomes of the various Project activities, jointly with and ensuring its effective dissemination to a broad, multi-stakeholder audience.
2. The Recipient shall, within two (2) months from the Association and the Recipient, the report referred to in paragraph (c) effectiveness of this Section and promptly thereafter take all measures required to ensure Grant, update the efficient completion of the GPHA Project Activities and the achievement of the objective of Financial Management Manual for the Project, based on in form and content satisfactory to the conclusions World Bank and recommendations of adopt such updated Financial Management Manual as shall have been deemed satisfactory to the said report and the Association’s views on the matterWorld Bank.

Other Undertakings. The Project Implementing Entity shall:
Recipient shall by not later than two (a2) participate months after the Effective Date: (i) train BAGE staff on the Association’s financial management procedures, (ii) recruit an internal auditor on a part-time basis within DWF; and (iii) upgrade the accounting software of PROGEDE I from mono-post to multi-post and network. The Recipient shall by not later than four (4) months after the Effective Date, recruit in a comprehensive review accordance with the provisions of Section III of this Schedule, the external auditors which shall conduct the audits of the Financial Statements under Section II. B of this Schedule. The Recipient shall by not later than two (Midterm Review2) carried out by months after the Recipient jointly Effective Date recruit in accordance with the provisions of Section III of this Schedule, pursuant to terms of reference and with qualifications satisfactory to the Association, no later than thirty and thereafter use during Project implementation until at least the date of the Mid-Term Review, the following experts: three forest and biodiversity management experts, a household energy expert, an extension and communication expert, a monitoring and evaluation expert, an information system expert, an expert in capacity building and income generating activities, an expert in organization of local actors and gender, and an environmental social and climate change expert. The Recipient shall ensure the training of all DWF project team in the Association’s basic procurement procedures. Thirty-six (3036) months after the Effective Date, or such later date dates as may be agreed upon by the Recipient and the Association, to assess the status of the GPHA Project Activities implementation. Such review shall be aimed at: (i) documenting progress towards the Project objective, including as measured against the performance indicators set forth in Section II of the Schedule to this Agreement; (ii) identifying and resolving obstacles to the GPHA Project Activities’ implementation; and (iii) adjustingRecipient shall, in agreement conjunction with the Association, targets and corresponding activities to reflect carry out a progress review of the Project (“Mid-Term Review”), covering the progress achieved in the GPHA Project Activities implementation as of the date of review;
(b) invite and take all actions it considers necessary to ensure the participation of representatives of donors interested in the GPHA Project Activities implementation to participate in such Midterm Review;
(c) not later than three (3) months before such review, or such later date as may be agreed upon by the Project. The Recipient and the Association, provide all information needed by the Recipient to shall prepare, or prepare and furnish to the Association, a report, in scope and detail under terms of reference satisfactory to the Association, needed and furnish to undertake the reviewAssociation 2 months prior to the beginning of the Mid-Term Review, or on such other date agreed upon with the Association in writing: (i) an assessment of the transfer of knowledge from the consultants recruited under Section 5.01(b) and Section V.3 of Schedule 2 of this Agreement to the staff of the Recipient, and (ii) a report integrating the results of the monitoring and evaluation activities performed pursuant to paragraph (a) of this Section Agreement, on the progress achieved in the carrying out of the GPHA Project Activities during the period preceding the date of the said report such report, and setting out the measures recommended to ensure the efficient carrying out of the GPHA Project Activities and the achievement of the objective thereof during the period following such date; and
(d) review, jointly with the Association and the Recipient, the report referred to in paragraph (c) of this Section and promptly thereafter take all measures required to ensure the efficient completion of the GPHA Project Activities and the achievement of the objective of the ProjectProject during the period following such date. Following such Mid-Term Review, based on the conclusions Recipient shall act promptly and recommendations diligently in order to take, or cause to be taken, any corrective action deemed necessary by the Association to remedy any shortcoming noted in the carrying out of the said report Project in furtherance of the objective of the Project. The Recipient shall provide the necessary financing for any consultancy contract referenced in Section V.3 of Schedule 2 or Section 5.01(b) of this Agreement (other than the Head of Operations), that will have been identified for renewal or extension following the assessment performed during the Mid-Term Review. Other Undertakings. 1. The Project Implementing Entity shallBorrower undertakes to:
(a) participate cause the Project Implementing Entities to file tariff petitions with NEPRA requesting NEPRA’s revision and update of the tariffs structure applicable to their respective services whenever the existing tariffs no longer meet the standards set forth in Part III (Section 17) of the NEPRA SRO; and
(b) publish in the Official Gazette or file a comprehensive request for review of any regulatory order, determination and/or decisions passed by NEPRA (Midterm Reviewincluding the revisions and updates of the applicable tariff structures requested in accordance with sub-paragraph (a) carried out by the Recipient jointly with the Associationabove), no later than thirty fifteen (3015) months after the Effective Date, or such later date days as may be agreed upon by the Recipient and the Association, of NEPRA’s final intimation pursuant to assess the status sub-section (4) of Section 31 of the GPHA Project Activities implementationNEPRA Act.
2. 3. In carrying out Part D of the AssociationProject, provide all information needed by the Recipient to prepare, or Borrower shall cause the Project Implementing Entities to: prepare and furnish to the Association, a report, in scope Borrower and detail satisfactory to the Association, needed to undertake the Bank for review, integrating comments and concurrence, their respective draft project description documents detailing the results proposed activities under Part D of the monitoring Project, which detail shall include: (i) an assessment of the technical, economic and evaluation financial justification/viability of the activities performed pursuant to paragraph proposed; (ii) implementation plan; (iii) the environmental and social assessment of such activities, whenever necessary, and the mitigation measures therefor; and (iv) the proposed budget and associated procurement plan (including any arrangements for supplementing/strengthening the procurement capacity); finalize such project description documents based on the drafts as discussed with, and agreed by, the Borrower and the Bank; and thereafter, carry out Project activities under Part D of the Project in accordance with their respective project description documents, as so approved. The following table sets forth the Principal Payment Dates of the Loan and the percentage of the total principal amount of the Loan payable on each Principal Payment Date (“Installment Share”). If the proceeds of the Loan have been fully withdrawn as of the first Principal Payment Date, the principal amount of the Loan repayable by the Borrower on each Principal Payment Date shall be determined by the Bank by multiplying: (a) of this Section on the progress achieved in the carrying out Withdrawn Loan Balance as of the GPHA Project Activities during first Principal Payment Date; by (b) the period preceding the date of the said report and setting out the measures recommended Installment Share for each Principal Payment Date, such repayable amount to ensure the efficient carrying out of the GPHA Project Activities and the achievement of the objective thereof during the period following such date; and
