Common use of Our right to assign or transfer Clause in Contracts

Our right to assign or transfer. (a) You agree that at any time we may assign the rights under, and novate the benefits and obligations of, this agreement: (i) to a related body corporate (being a company in our corporate group); (ii) a third party supplier; or (iii) a purchaser of our business; (a Transferee) and that the transferee will assume our liabilities and obligations under this agreement. (b) We, or the transferee, will notify you if a transfer occurs in accordance with Clause 16.2(a). We and you agree that, with effect from the date of the notice, this agreement is cancelled and a new agreement is created on the same terms as this agreement except that: (i) the transferee replaces us in any capacity under this agreement as if the transferee was an original party to this agreement instead of us; and (ii) the transferee has no obligations or liability under this agreement before the date of the notice. (c) In addition to our other rights in this Clause 16.2, we may assign, transfer or deal with our rights and obligations under this agreement on terms to which you consent.
