Out of the Money Options. The Stockholder acknowledges and consents to the termination and cancellation, as of the Effective Time, of all "Out of the Money Options" held by the Stockholder.

Out of the Money Options. A call is out of the money when the underlying stock price is lower than the option’s strike price. EXAMPLE An ABC November 25 call is out of the money when ABC is trading at $22 per share. A put option is out of the money when the underlying stock price is above the option’s strike price. EXAMPLE A KDC December 50 put is out of the money when KDC is trading at $54 per share. It would not make sense to exercise an out-of-the-money option. Out of the Money Options. Each Company Option outstanding and unexercised immediately prior to the Effective Time under any stock option plan of the Company which is not an In the Money Option are listed on Schedule 1.6(d)(ii) (an “Out of the Money Option”) and shall be entitled to receive subject to execution of an “Out of the Money Option Cancellation Agreement”, in consideration of the cancellation of such Company Option and in settlement therefor, an amount in cash (without interest and subject to any applicable withholding or other Taxes required by applicable Law to be withheld or otherwise paid by the Company) equal to the applicable Bonus Consideration amount set forth in such Out of the Money Option Cancellation Agreement and Schedule 1.8(a)(iv).
Out of the Money Options. Each Option outstanding and unexercised immediately prior to the Effective Time under any stock option plan of the Company that is not an In the Money Option, all of which are listed on Schedule 1.17(a) (collectively, “Out of the Money Options”), shall be cancelled and retired in accordance with the its terms.

All Warrants originally issued by the Company subsequent to any adjustment made to the Exercise Price pursuant to the Warrant Certificate shall evidence the right to purchase, at the adjusted Exercise Price, the number of shares of Common Stock purchasable from time to time hereunder upon exercise of the Warrants, all subject to further adjustment as provided herein.
