Outage and Performance Reporting Clause Samples
The Outage and Performance Reporting clause requires a party, typically a service provider, to regularly inform the other party about any service interruptions and the overall performance of the system or service. This may involve scheduled reports detailing downtime incidents, response times, and compliance with agreed service levels. By mandating transparent communication about outages and performance metrics, the clause helps ensure accountability and enables the affected party to assess service reliability and address issues proactively.
Outage and Performance Reporting. Seller shall comply with all Avista, NERC, WECC and other applicable generating unit outage reporting requirements, as they may be revised from time to time, and as they apply to the Facility.
Outage and Performance Reporting. (A) Seller shall comply with all current NERC, MRO, and MISO generating unit outage reporting requirements and reliability standards, as they may be revised from time to time, and as they apply to the Facility. Seller shall comply with applicable MISO reporting requirements unit availability, turbine locations, etc. as they may be revised from time to time.
(B) When Forced Outages occur, Seller shall notify Company’s EDCC of the existence, nature, and expected duration of the Forced Outage as soon as practical, but in no event later than sixty (60) minutes after the Forced Outage occurs. Seller shall immediately inform Company’s EDCC of changes in the expected duration of the Forced Outage unless relieved of this obligation by Company’s EDCC for the duration of each Forced Outage.
(C) Commencing upon the Commencement Date and continuing through the Term, Seller shall electronically provide the energy production from the Facility in five (5) minute intervals, 24x365 to Company and allow Company to disclose such data publicly.
Outage and Performance Reporting. The Seller shall comply with all current Company and NERC GADS generating unit outage reporting requirements, as they may be revised from time to time, and as they apply to the Facility, including the following:
(A) When Forced Outages occur, the Seller shall notify the Company of the existence, nature, start time, and expected duration of the Forced Outage as soon as practical, but in no event later than one (1) hour after the Forced Outage occurs. The Seller shall immediately inform the Company of changes in the expected duration of the Forced Outage unless relieved of this obligation by the Company for the duration of each Forced Outage; and
(B) The Seller shall report to the Company information on Facility performance during a Calendar Month within five (5) Business Days after the end of the Calendar Month. For each generator, and using definitions provided by, and/or consistent with NERC GADS, or any successor document, the data reported shall include planned derated hours, unplanned derated hours, average derated kW from net capability during the derated hours, scheduled maintenance hours, average derated kW during scheduled maintenance hours, the number of generator starts, hours on-control and hours on-line.

Seller shall comply with all current generating unit outage reporting requirements prescribed in the Borough of Ephrata Technical Requirements for Customer Owned Generation (revised December 8, 2014), as they may be revised from time to time, and as they apply to the Facility. When Forced Outages occur, Seller shall notify Borough of the existence, nature, and expected duration of the Forced Outage as soon as practical, but in no event, later than twenty-four (24) hours after the Forced Outage occurs. Seller shall promptly inform Borough of changes in the expected duration of the Forced Outage unless relieved of this obligation by Borough for the duration of each Forced Outage.
Outage and Performance Reporting.
(a) Seller shall comply with all current Buyer, NERC, and generating unit outage reporting requirements, as they may be revised from time to time, and as they apply to the Facility.
(b) No later than sixty (60) Days prior to the commencement of each calendar year during the Term, Seller shall provide Buyer with a proposed schedule of Planned Outages of the Facility for the following year. For each calendar year during the Term, Planned Outages shall not be scheduled during June, July, or August of any year. Seller shall use Commercially Reasonable Efforts to finalize the proposed schedule of Planned Outages at least three (3) months prior to the first Planned Outage planned for any calendar year during the Term.
(c) When Forced Outages occur during daylight hours, Seller shall notify Buyer’s SCC of the existence, nature, and expected duration of the Forced Outage as soon as practical, but in no event later than thirty (30) minutes after the Forced Outage commences or if not during daylight hours not later than thirty (30) minutes after the next sunrise. Seller shall immediately inform Buyer of changes in the expected duration of the Forced Outage.
(d) Commencing upon COD and continuing through the Term, Seller shall design the SCADA system to electronically provide energy production data from the Facility inverters in two (2) minute or shorter intervals, twenty-four (24) hours a Day, three hundred sixty-five (365) Days a year to Buyer. Data will be transferred via a mutually agreed interface provided by Seller located at the Facility’s control enclosure. In the event Buyer requests data beyond the original Facility design, Seller will propose a price and schedule to enhance the instrumentation and SCADA system as necessary.
