Outside Source. Information that Consultant can prove: (a) Was known to it prior to receipt from Board, directly or indirectly, from a source other than one having an obligation of confidentiality to Board; (b) Becomes known (independently of disclosure by Board) to Consultant, directly or indirectly, from a source other than one having an obligation of confidentiality to Board; or (c) Becomes publicly known or otherwise ceases to be confidential, except through a breach of this Agreement by Consultant.
