Common use of Overdue Charges Clause in Contracts

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 7.2 (Invoicing and Payment).

Overdue Charges. If any charges are complete payment is not received from You by the due date, and unless otherwise provided in the Order Form, then at Our discretion, COMPANY’s discretion (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms may be conditioned on payment terms shorter than those specified in Section 6.2 3.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 5.2 (Invoicing and Payment).

If any charges are not received from You by the due datedate (except charges then under reasonable and good faith dispute), then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 11.5 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.52.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on prepayment or payment terms shorter than those specified in Section 6.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due datedate and you have not paid such charges after receiving at least 10 days’ notice from Us, then at Our discretion, (a) such charges may shall accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 5.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, We have the discretion to (ai) such charges may accrue charge late interest fee (or penalty) at the accrual rate of 1.52% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the due date of such payment was due up until the date paid, paid and/or (bii) We may condition future subscription renewals for longer periods and Order Forms on shorten the payment terms shorter than those specified in Section 6.2 (Invoicing and Payment)) and/or (vii) We may suspend Our services to You until such amounts and any interest charges are paid in full.

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, , (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Purchase Orders / Sales Order Forms on payment terms shorter than those specified in Section 6.2 5.2 (Invoicing and Payment)) above.

If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.52% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid, and/or (b) We may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6.2 (Invoicing and Payment).

Overdue Charges. If any charges are not received from You by the due date, then at Our discretion, (a) such charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, from the date such payment was due until the date paid. Notwithstanding the previous sentence, and/or (b) We may condition future subscription renewals if You are a government entity and Order Forms on payment terms shorter than those specified in Section 6.2 (Invoicing and Payment)are prohibited or limited by law from paying interest or penalties for late payment, this section shall not apply to You.

Overdue Charges.
