Auto-Renewal. In the event that this Agreement is automatically renewed, the Business Associate agrees to be bound by the terms of this Agreement and laws referenced in this Agreement that are current and in effect at the time of renewal.
Auto-Renewal. Subscriptions will automatically renew at the end of any term. Company may opt a Customer out of this automatic renewal system by updating the Subscription through the Portal. Each renewal term will be for the period specified in the Program Guide. Pricing for a renewal term will be Microsoft’s pricing in the price list in effect as of the commencement of the renewal term.
Auto-Renewal. A-46 The Company will notify the Home Customer, no later than 10 (ten) business days prior to the End Date, of the following:
Auto-Renewal. At the end of each Services Term, the Services (and all End User Accounts previously purchased for a Fee) will automatically renew for an additional Services Term of twelve months. If either party does not want the Services to renew, then it must notify the other party in writing at least 15 days prior to the end of the then current Services Term. This notice of non-renewal will be effective upon the conclusion of the then current Services Term.
Auto-Renewal. Unless expressly stated otherwise by Partner, the Partnership Term shall be renewed automatically for successive Terms which will be equal to the duration of the then expiring Term and, in no case, less than twelve (12) months. Subject to feasibility based on the duration of the expiring Term, Wazuh shall provide Partner with two (2) wrien notices of the upcoming Auto Renewal. First notice will be delivered to Partner at least ninety (90) days prior to the Expiration Date of each Partnership Term. The second notice shall be sent as a reminder to Partner at least forty-five (45) days before the Expiration Date. Notwithstanding the foregoing, Auto Renewal is not subject to the receipt of the aforementioned notices. Either Party may cancel the Auto Renewal by wrien notice to the other Party at any time up to thirty (30) days prior to the Expiration Date of any Term. The Fees for each Renewal Term may be subject to an increase, not exceeding seven percent (7%) over the prior year’s Partnership Fees, unless those were designated as promotional or one-time in the applicable Order. In the event that Partner chooses to cancel the Auto Renewal but later wishes to renew a Term, the Renewal Fees will be based on the then-current list prices of Wazuh. No purchase order shall be needed by Wazuh to process invoices related to any Term renewed under the provisions of this Section 6.4. During any Renewal Term, the terms and conditions set forth in these Partner Terms shall remain in full force and eect.
Auto-Renewal. Fees for certain Premium Services are automatically charged on a recurring basis, and when signing up for a Premium Service with a recurring payment obligation, you will be able to select a recurring billing level and renewal term that will apply to your receipt of such Premium Services ("Subscription") (e.g. annual payment or Unlimited Perpetual License). Unless you cancel or change your Subscription in accordance with these Terms of Service, any Subscriptions you have signed up for will be automatically extended for successive renewal periods of the same duration as the Subscription originally selected, at the then-current non-promotional rate. By signing up for a Subscription, you agree that we may submit the charges associated with such Subscription for payment on the applicable schedule and you will be responsible for such charges. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Premium Service and/or Subscription. BY SIGNING UP FOR A SUBSCRIPTION YOU ACKNOWLEDGE AND AGREE THAT WE MAY SUBMIT PERIODIC CHARGES (E.G., YEARLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE WE REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO THE BILLING SECTION OF THE SERVICE. Auto-Renewal. Unless otherwise expressly stated in the Quote, the term of any managed Service that is provided to you on an ongoing and recurring basis and which is invoiced monthly (a “Managed Service”) will, unless terminated earlier as per this Agreement, automatically renew for contiguous terms equal to the initial term of the Managed Service unless either party notifies the other of its intention to not renew the Managed Service no less than thirty (30) days before the end of the then-current Managed Service term. For the purposes of clarity, the term of non-Managed Services (such as one-time projects, break/fix assignments, temporary, non-recurring services, etc.) are not subject to auto- renewal.
Auto-Renewal. If the Borrower so requests in any applicable Application, the L/C Issuer ay, in its sole and absolute discretion, agree to issue a Letter of Credit that has automatic renewal provisions (each, an “Auto-Renewal Letter of Credit”); provided that any such Auto-Renewal Letter of Credit must permit the L/C Issuer to prevent any such renewal at least once in each twelve-month period (commencing with the date of issuance of such Letter of Credit) by giving prior notice to the beneficiary thereof not later than a day in each such twelve-month period to be agreed upon (the “Nonrenewal Notice Date”) at the time such Letter of Credit is issued. Unless otherwise directed by the L/C Issuer, the Borrower shall not be required to make a specific request to the L/C Issuer for any such Renewal. Once an Auto-Renewal Letter of Credit has been issued, the Lenders shall be deemed to have authorized (but may not require) the L/C Issuer to permit the renewal of such Letter of Credit at any time to an expiry date that satisfies the requirements set forth in Section 2.3(b) above; provided, however, that the L/C Issuer shall not permit any such renewal if (i) the L/C Issuer has determined that it would have no obligation at such time to issue such Letter of Credit in its renewed form under the terms hereof, or (ii) it has received notice on or before the day that is 5 Business Days before the Nonrenewal Notice Date (x) from the Administrative Agent that the Required Lenders have elected not to permit such renewal or (y) from the Administrative Agent, any Lender with a Line of Credit Commitment or the Borrower that one or more of the applicable conditions specified in Section 3.1 is not then satisfied.
Auto-Renewal. Your Subscription will automatically renew at the end of Your Subscription Term continuously and indefinitely for period equal to the Initial Term (each a “Renewal Term”) without action by You, and the Subscription membership fee will be charged to You at the time of renewal. By payment of Your initial membership fee, You are agreeing to pay a reoccurring subscription fee automatically (at the then-current rate in the Veo App) unless you cancel prior to the expiration of the current Initial Term or Renewal Term, as the case may be. Fees will be charged to Your original payment method automatically at the beginning of Your Subscription Term, and at the beginning of each Renewal Term thereafter on the calendar day corresponding to the commencement of Your current Subscription Term, unless You cancel Your Subscription.
Auto-Renewal. This Agreement shall automatically renew for successive one (1) year periods unless either party provides the other party with written notice of non-renewal at least 30 days prior to the end of the then-current term.
