Common use of Overhead Expenses Clause in Contracts

Overhead Expenses. Buyer agrees that it shall not, prior to the Earnout Closing Date, allocate unreasonable overhead expenses to any of the Group Companies. For purposes of this Section 5.14, “unreasonable overhead expenses” means any overhead expenses that are outside the scope set forth in Schedule 5.18(d) hereto.
