Common use of Ownership of Capital Stock of Company Clause in Contracts

Ownership of Capital Stock of Company. Such Shareholder owns the number of shares of Common Stock of Company set forth next to such Shareholder's signature to this Agreement and their respective Partnership Interests. Such Shareholder has good, marketable, and unencumbered title to such stock and their respective Partnership Interests, and there are no restrictions on such Shareholder's right to transfer such stock or their respective Partnership Interests to Buyer pursuant to this Agreement.

Ownership of Capital Stock of Company. Such Shareholder owns the number of shares of Common Stock of Company set forth next to such Shareholder's signature to this Agreement and their respective Partnership InterestsAgreement. Such Shareholder has good, marketable, and unencumbered title to such stock and their respective Partnership Interestsstock, and there are no restrictions on such Shareholder's right to transfer such stock or their respective Partnership Interests to Buyer pursuant to this Agreement. No transfer of record ownership of, or beneficial interest in, any of such stock will be made between the date hereof and the Closing.

Such Each Shareholder has good, marketable, marketable and unencumbered title to such stock Shares, free and their respective Partnership Interestsclear of all liens, security interests, pledges, claims, options and there rights of others. There are no restrictions on such the Shareholder's right to transfer such stock or their respective Partnership Interests shares to Buyer pursuant to this Agreement.
