Common use of Ownership of Certain Proprietary Property Rights Clause in Contracts

Ownership of Certain Proprietary Property Rights. DCAMM shall not, by virtue of this Contract, acquire any ownership rights in any formulas, patterns, devices, secret inventions or processes, copyrights, patents or other intellectual property rights, or similar items of property which may be used in connection with the New Equipment/Systems. DCAMM shall, however, have a nonexclusive license to utilize all such intellectual or proprietary rights in connection with the use of the New Equipment/Systems under this Contract. CONTRACTOR hereby grants to the Commonwealth a perpetual, irrevocable, royalty-free license to any and all software or other intellectual property or proprietary rights necessary for the Commonwealth to continue to operate, maintain, and repair the New Equipment/Systems in a manner that shall yield maximal energy and water consumption reductions. This license shall continue subsequent to any termination or expiration of this Contract other than termination due to breach by DCAMM.
