Ownership of Improvements/Collaboration IP. Each Party agrees promptly to disclose to the other Party all Improvements and all Collaboration IP made by or under authority of such Party under this Agreement. As between the Parties, (a) title to all Genocea Improvements and Genocea Collaboration IP shall be owned by Genocea, (b) title to all Isconova Improvements and Isconova Collaboration IP shall be owned by Isconova, and (c) title to all Joint Improvements and Joint Collaboration IP shall be jointly owned by Genocea and Isconova.
