Ownership of Records. The Sub-adviser shall maintain all books and records required to be maintained by the Sub-adviser pursuant to the 1940 Act and the rules and regulations promulgated thereunder with respect to transactions on behalf of a Fund. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-adviser hereby agrees (i) that all records that it maintains for a Fund are the property of the applicable Fund, (ii) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 under the 1940 Act, and (iii) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Sub-adviser may retain copies of such records.

Ownership of Records. The Sub-adviser Subadviser shall maintain all books and records required to be maintained by the Sub-adviser Subadviser pursuant to the 1940 Act and the rules and regulations promulgated thereunder with respect to transactions on behalf of a the Fund. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-adviser Subadviser hereby agrees (i) that all records that it maintains for a Fund the Portfolio are the property of the applicable Fund, (ii) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 under the 1940 Act, and (iii) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Sub-adviser Subadviser may retain copies of such records.

The Co-Sub-adviser Adviser shall maintain all books and records required to be maintained by the Co-Sub-adviser Adviser pursuant to the 1940 Act and the rules and regulations promulgated thereunder with respect to transactions on behalf of a the Fund. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Co-Sub-adviser Adviser hereby agrees agrees: (i) that all records that it maintains for a the Fund are the property of the applicable Fund, (ii) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 under the 1940 Act, Act and (iii) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Co-Sub-adviser Adviser may retain copies of such records.

The Sub-adviser Subadviser shall maintain all books and records required to be maintained by the Suba sub-investment adviser of a registered investment company pursuant to the 1940 Act and the rules and regulations promulgated thereunder with respect to transactions on behalf of a Fundthe Portfolio. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-adviser Subadviser hereby agrees (iA) that all records that it maintains for a Fund the Portfolio are the property of the applicable Fund, (iiB) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 under the 1940 Act, and (iiiC) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Sub-adviser Subadviser may retain copies of such records.

In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-adviser hereby agrees (iA) that all records that it maintains for a the Fund are the property of the applicable FundCompany, (iiB) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund Company and that are required to be maintained by Rule 31a-1 31a-l under the 1940 Act, and (iiiC) agrees to surrender promptly to the applicable Fund Company or Adviser any records that it maintains for the Fund Company upon request by the FundCompany or Adviser; provided, however, the Sub-adviser may retain copies of such records.

In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-adviser Subadviser hereby agrees (iA) that all records that it maintains for a Fund the Portfolio are the property of the applicable Fund, (iiB) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 31a-l under the 1940 Act, and (iiiC) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Sub-adviser Subadviser may retain copies of such records.

The Co-Sub-adviser Adviser shall maintain all books and records required to be maintained by the Co-Sub-adviser Adviser pursuant to the 1940 Act and the rules and regulations promulgated thereunder with respect to transactions on behalf of a the Fund. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Co-Sub-adviser Adviser hereby agrees agrees: (i) that all records that it maintains for a the Fund are the property of the applicable Fund, (ii) to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any records that it maintains for the applicable Fund and that are required to be maintained by Rule 31a-1 31a-1(f) under the 1940 Act, Act and (iii) agrees to surrender promptly to the applicable Fund any records that it maintains for the Fund upon request by the Fund; provided, however, the Co-Sub-adviser Adviser may retain copies of such records.
