Common use of Ownership of Study Data Clause in Contracts

Ownership of Study Data. BMS shall own Study Data pertaining solely to the BMS Study Drug (“BMS Study Data”), and Recipient shall own the Study Data pertaining solely to the Recipient FDC (“Recipient Study Data”). Subject to the restrictions on use and disclosure as set forth in this Agreement, both Parties shall jointly own any Study Data that is not BMS Study Data or Recipient Study Data (such jointly owned Study Data being the “Combined Therapy Study Data”). Each Party shall, and does hereby, assign, and shall cause its Affiliates to so assign, to the other Party, without additional compensation, such right, title and interest in and to any Study Data as is necessary to fully effect the foregoing, and agrees to execute all instruments as may be reasonably necessary to effect same.

Ownership of Study Data. As between BMS and Recipient, (a) BMS shall own the particular Study Data pertaining solely that relate exclusively to the BMS Study Drug (“BMS Study Data”), and the Recipient shall own the particular Study Data pertaining solely that relate exclusively to the Recipient FDC Study Drug (“Recipient Study Data”). Subject to the restrictions on use , and disclosure as set forth in this Agreement, (b) both Parties shall jointly own any and all Study Data that is not Recipient Study Data or the BMS Study Data or Recipient Study Data (such jointly owned Study Data being the “Combined Therapy Study Data”). BMS shall own the Study Data pertaining solely to the extent that it relates exclusively to the BMS Study Drug Compound (“BMS Study Data”), and Recipient Exelixis shall own the Study Data pertaining solely to the Recipient FDC extent that it relates exclusively to the Exelixis Compound (“Recipient Exelixis Study Data”). Subject to the restrictions on use and disclosure as set forth in this Agreement, both The Parties shall jointly own (BMS to own 50% and Exelixis to own 50%) any Study Data that is does not relate exclusively to the Exelixis Compound or the BMS Study Data or Recipient Study Data Compound (such jointly owned Study Data being the “Combined Therapy Study Data”). Each Party shall, and does hereby, assign, and shall cause its Affiliates to so assign, to the other Party, without additional compensation, such right, title and interest in and to any Study Data as is necessary to fully effect the foregoing, and agrees to execute all instruments as may be reasonably necessary to effect same.

Subject to the restrictions on use and disclosure as set forth in this Agreement, both Parties shall jointly own any Study Data that is not BMS Study Data or Recipient Company Study Data (such jointly owned Study Data being the “Combined Therapy Study Data”). Each Party shall, and does hereby, assign, and shall cause its Affiliates to so assign, to the other Party, without additional compensation, such right, title and interest in and to any Study Data as is necessary to fully effect the foregoing, and agrees to execute all instruments as may be reasonably necessary to effect same.
