Common use of Ownership of the Shares Clause in Contracts

Ownership of the Shares. (A) The Seller is the sole legal and beneficial owner of the Shares. (B) There is no option, right to acquire, mortgage, charge, pledge, lien or other form of security or encumbrance or equity on, over or affecting the Shares or any of them and there is no agreement or commitment entered into by any member of the Seller's Group to give or create any of the foregoing.

(B) There is no option, right to acquire, mortgage, charge, pledge, lien or other form of security or encumbrance Encumbrance or equity on, over or affecting the Shares or any of them and there is no agreement or commitment entered into by any member of the Seller's Vendor’s Group to give or create any of the foregoing.

(B) 1.2 There is no option, right to acquire, mortgage, charge, pledge, lien or other form of security or encumbrance or equity Lien on, over or affecting the Shares or any of them or any shares of any member of the Group and there is no agreement or commitment entered into by any member of the Seller's Group to give or create any of and, so far as the foregoingSeller is aware, no claim has been made by any Person to be entitled to any.
