Parent Name Change. Prior to the Effective Time, Parent shall take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable (a) to form a Delaware corporation, all of the outstanding shares of capital stock of which shall be owned by Parent (the “Name Change Sub”), and (b) immediately prior to the Effective Time, to merge the Name Change Sub with and into Parent pursuant to Section 253 of the DGCL, with Parent surviving, for the sole purpose of changing the name of Parent to “Applied Biosystems, Inc.” (the “Parent Name Change”).
Parent Name Change. Prior to the Effective Time, Parent shall have taken all required legal actions to change its corporate name to a name to be agreed upon by Parent and the Company. The parties acknowledge and agree that Parent has authorization for such name change, and to the extent the Company holds any rights in or to such name the Company hereby grants to Parent a non-exclusive right to use such name, including without limitation any trade name, service name, service xxxx or trade dress rights of the Company therein or thereto.
Parent Name Change. In connection with the approval of this Merger Agreement, Parent’s Board of Directors and stockholders have taken all required corporate action to change its corporate name to Curaxis Pharmaceutical Corporation at the Effective Time.
Parent Name Change. Parent and Company shall mutually agree on the name of Parent to be included in the Parent Charter Amendment.
Parent Name Change. At the Effective Time, Parent shall cause its certificate of incorporation to be amended to change its name to " Honeywell International Inc." by causing a Subsidiary of Parent to be merged with and into Parent and having the terms of such merger provide for such name change.
Parent Name Change. At the Effective Time, Parent shall cause its name to be changed to "MEADWESTVACO CORPORATION." Parent shall cause its Certificate of Incorporation and By-laws to be amended as of the Effective Time to read as set forth on Exhibit A hereto.
Parent Name Change. Following Closing, Parent shall amend its Certificate of Incorporation to change its name to “Accountable Healthcare America Inc.,” or other mutually agreed upon name, and shall apply to the Financial Industry Regulatory Authority (“FINRA”) to change its ticker symbol.
Parent Name Change. Immediately prior to the Closing, Parent shall take all required legal actions to change its corporate name to VirtualScopics, Inc. by means of an amendment to its Certificate of Incorporation.
