Parent Pledge of Subsidiary Stock. If any Subsidiary is created or acquired after the Closing Date, Parent shall execute and deliver to Agent an amendment to the Parent Pledge Agreement describing as collateral thereunder the stock of or other ownership interests in the new Subsidiary and Parent shall deliver the certificates representing such stock or other interests to Agent together with undated stock or other powers duly executed in blank.

Parent Pledge of Subsidiary Stock. If any Subsidiary (other than an Acquisition Subsidiary or a Restricted Group Member) is created or acquired after the Closing Date, Parent, within forty-five days of the creation or acquisition of such Subsidiary, shall cause the owner of the capital stock or other ownership interest of such Subsidiary to execute and deliver to Agent an amendment to the Pledge Agreements or a Pledge and Security Agreement, as applicable, describing as collateral thereunder the stock of or other ownership interests in such Subsidiary and Parent shall cause the owner of the capital stock of such Subsidiary to deliver the certificates representing such stock or other interests to Agent together with undated stock or other powers duly executed in blank. Upon the earlier to occur of: (i) the date that is nine months from the date of the creation of any Acquisition Subsidiary (that is not a Restricted Group Member) or (ii) the date that is forty-five days after the date of the consummation of the acquisition for which the Acquisition Subsidiary was created, Parent shall cause the owner of the capital stock or other ownership interest of such Acquisition Subsidiary (that is not a Restricted Group Member) to execute and deliver to Agent an amendment to the Pledge Agreements or a Pledge and Security Agreement, as applicable, describing as collateral thereunder the stock of or other ownership interests in such Acquisition Subsidiary and Parent shall cause the owner of the capital stock of such Acquisition Subsidiary to deliver the certificates representing such stock or other interests to Agent together with undated stock or other powers duly executed in blank.   • Limitation on Sales of Assets and Subsidiary Stock (a) The Company shall not, and shall not permit any of its Restricted Subsidiaries to, make any Asset Disposition unless:

  • Disposal of Assets or Subsidiary Stock Borrower will not and will -------------------------------------- not permit any of its Restricted Subsidiaries directly or indirectly to: convey, sell, lease, sublease, transfer or otherwise dispose of, or grant any Person an option to acquire, in one transaction or a series of transactions, any of its property, business or assets, or the capital stock of or other equity interests in any of its Subsidiaries, whether now owned or hereafter acquired, except for (i) bona fide sales of inventory to customers for fair value in the ordinary course of business and dispositions of obsolete equipment not used or useful in the business; (ii) fair market value sales of Cash Equivalents; (iii) dispositions among Borrower, LA Unwired and Unwired Telecom or by Texas Unwired to Borrower, LA Unwired or Unwired Telecom; (iv) dispositions by LA Unwired of Licenses not covering the Service Areas; and (v) all other Asset Dispositions if all of the following conditions are met: (a) the aggregate market value of assets sold in any one transaction or series of related transactions does not exceed $250,000; (b) the aggregate market value of assets (including such assets but excluding any assets sold pursuant to clauses (i) through (v) above inclusive) sold or otherwise disposed of in the immediately preceding 12-month period does not exceed $1,000,000 in the aggregate for Borrower and its Restricted Subsidiaries; (c) the consideration received is at least equal to the fair market value of such assets; (d) the sole consideration received is cash; (e) after giving effect to the sale or other disposition of such assets, Borrower, on a consolidated basis with the Restricted Subsidiaries as set forth in Section 4, but excluding the Unrestricted Subsidiary, is in compliance on a pro forma basis with the covenants set forth in Section 4 recomputed for the most recently ended month for which information is available and Borrower is in compliance with all other terms and conditions contained in this Agreement; and (f) no Default or Event of Default then exists or shall result from such sale or other disposition.

  • Certain Subsidiaries Unless pursuant to Indebtedness which is authorized pursuant to this Agreement, the Borrower will not, and the Subsidiaries of the Borrower will not, permit any creditor of a Project Finance Subsidiary to have recourse to the Borrower or any Subsidiary of the Borrower (other than such Project Finance Subsidiary) or any of their assets (other than (i) the stock or similar equity interest of the applicable Subsidiary or any Subsidiary which is an entity whose sole purpose and extent of business activities is to own the stock or similar equity interest of a Project Finance Subsidiary and (ii) with respect to a Permitted Derivative Obligation) other than recourse under Long-Term Guaranties.

The outstanding Equity Interests in all Subsidiaries are validly issued, fully paid and non-assessable and are owned free and clear of all Liens. There are no outstanding subscriptions, options, warrants, calls, rights or other agreements or commitments (other than stock options granted to employees or directors and directors’ qualifying shares) of any nature relating to the Equity Interests of any Loan Party or any Subsidiary thereof, except as contemplated in connection with the Loan Documents.
