Partial or incomplete delegations Clause Samples

The 'Partial or incomplete delegations' clause defines how responsibilities or obligations under an agreement can be delegated in part, rather than in full, to another party. This clause typically outlines the process for delegating only certain tasks or duties, specifying any conditions or approvals required for such partial transfers. For example, a contractor might delegate only the electrical work of a construction project to a subcontractor, while retaining responsibility for the rest. The core function of this clause is to provide flexibility in managing obligations while ensuring that all parties are clear about which responsibilities have been delegated and which remain with the original party, thereby preventing confusion or disputes over accountability.
Partial or incomplete delegations. Where the powers of a Party to delegate any of its statutory powers or functions are restricted, such limitations will automatically be deemed to apply to the relevant service specification in Schedule 1 and the Parties shall agree arrangements designed to achieve the greatest degree of delegation to the other Party necessary for the purposes of this Agreement which is consistent with those statutory constraints.
