Partial Reductions Due to a Forced Outage or Event of Force Majeure. If an Event of Force Majeure or Forced Outage causes a reduction, but not a complete suspension in the ability of the Company to accept, Process or dispose of Acceptable Waste at the Facility or transport or dispose of Residue, then the Company shall (a) give preference and priority to Acceptable Waste delivered by or on behalf of the Jurisdictions in the use of any reduced capacity of the Facility, and (b) use reasonable efforts to accept and Process Acceptable Waste delivered to the Facility by or on behalf of the Jurisdictions (subject to the Company’s rejection rights under Section 3.2(a)) up to the reduced capacity of the Facility.
