Participant in Securities Depository. Either (a) BD is, and shall remain for the term of this Agreement, a member of, or Participant in, the Securities Depository; or (b) BD may designate a Participant to act on BD's behalf for purposes of this Agreement. If BD wishes to designate a different Participant to act on its behalf, BD shall give the Auction Agent at least two Business Days' prior notice thereof.
