Participation Certificate. With respect to any Collateral that constitutes a Participation Certificate, Buyer shall have received the original Participation Certificate registered into the name of the Buyer or its designee or pledgee.
Participation Certificate. On the date of the initial sale of a participation interest with respect to a portfolio of Eligible Loans hereunder, or thereafter as mutually agreed upon by the parties hereto, the Lender shall execute and deliver to the Participant the Participation Certificate evidencing a 100% participation and beneficial ownership interest in Eligible Loans in that portfolio as identified in Schedule A attached to the Participation Certificate. The Lender shall attach or cause to be attached to the executed original Participation Certificate a schedule of the participated Eligible Loans, legal title to which shall be retained by the Lender (if an eligible lender under the Higher Education Act) or by the Eligible Lender Trustee. As the Lender sells additional participation interests in Eligible Loans to the Participant hereunder, no more frequently than on a monthly basis, the Lender shall issue (or cause to be issued) supplemental schedules to the Participant to be substituted and attached to the Participation Certificate. The participation interest shall be deemed to have been transferred to the Participant upon payment of the Purchase Price therefor, irrespective of whether such supplemental schedules are issued by the Lender. The Lender shall also perform any reasonable or necessary acts to perfect the Participant's ownership of the participation interest in Eligible Loans including, without limitation, providing notice to the Borrowers of the transfer of the participation interest if the Participant determines such acts are necessary to perfect such sale.
Participation Certificate. A certificate in the form of the document attached hereto as Exhibit "A" to be executed and delivered by Originator to Participant contemporaneously with the execution of this Agreement to evidence the Participation Interest of Participant.
Participation Certificate. With respect to any Asset, Lender shall have received the original Participation Certificate registered into the name of the Lender or to the extent it relates to Repledge Collateral, in the name of CSFB.
Participation Certificate. Exhibit A to the Existing MLPSA is hereby amended by deleting such exhibit in its entirety and replacing it with Annex A attached hereto.
Participation Certificate. The purchase of the Participations shall be evidenced by this Participation Agreement and the Participation Certificate. Treasury’s purchase of the Participations takes effect fully upon the execution of the Participation Certificate.
Participation Certificate. The term “Participation Certificate” shall have the meaning set forth in Section 2A hereof.
Participation Certificate. Immediately following the Effective Time, the Lead will promptly deliver to each Participant a certificate of ownership substantially in the form of Exhibit "A" attached hereto showing the aggregate principal balance of the Senior Subordinated Note and the Participation Interest of such Participant. Any subsequent adjustment to the Participation Interest (other than as a result of payments received on account of the Participation Interest) shall result in the delivery of a new certificate of ownership. Each such certificate shall be cumulative, and upon receipt thereof by the Participant, any prior outstanding certificate shall become void and shall be promptly returned to the Lead by the Participant.
Participation Certificate. The terms of the Participation Certificate are modified as set forth below. It is our intention that such terms comply with the payment timing requirements of Section 409A, and that they be interpreted accordingly. Capitalized terms used in Section 2 of this letter and not otherwise defined herein have the meaning ascribed thereto in the Participation Certificate and the SEPIP.
Participation Certificate. That CoBank and FCW shall have entered into a Participation Certificate covering the loan hereunder to be dated as of the date hereof.
