Common use of Particular Covenants Clause in Contracts

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 to this Grant Agreement. (a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. (b) The Recipient shall cause SPG to enable ADB, upon ADB's request, to discuss the RecipientSPG’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient SPG pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient SPG unless the Recipient SPG shall otherwise agree. Section 4.03. The Recipient shall cause SPG to enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents.

The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Borrower shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant Loan Agreement. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(asubparagraph (a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

(a) The Recipient shall Beneficiary shall: (i) maintain, or cause to be maintained, separate accounts for the Project, including separate accounts for the Loan and the Grant; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Loan proceeds and the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expendituresFinancing Agreement), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Beneficiary shall enable ADB, upon ADB's request, to discuss the Recipient’s Beneficiary's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Beneficiary pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Beneficiary unless the Recipient Beneficiary shall otherwise agree. The Recipient Beneficiary shall enable ADB's representatives to inspect the Project, the goods Goods financed out of the proceeds of the Loan and the Grant, and any relevant records and documents.

The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods TA and consulting services financed out of the proceeds of the GrantLoan, and any relevant records and documents.

(a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expendituresAgreement), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabovehereof above, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents. Section 4.04. The Recipient shall ensure that the Project facilities are operated, maintained and repaired in accordance with sound administrative, financial, engineering, environmental, and maintenance and operational practices.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 to this Grant Agreement. (a) The Recipient shall shall: (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a4.02 (a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents.

(b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's ’s representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the GrantLoan, and any relevant records and documents. Section 4.04. The Borrower shall take all action, which shall be necessary on its part to enable TCC and PCC to perform their respective obligations under the Project Agreement, and shall not take or permit any action, which would interfere with the performance of such obligations.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Borrower shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant the Special Operations Loan Agreement. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six (6) months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expenditures)Loan Agreement, all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. Without limiting the generality of Section 6.05(a) of the Loan Regulations, the Borrower shall furnish, or cause to be furnished, to ADB quarterly reports on the carrying out of the Project and on the operation and management of the Project facilities. Section 4.04. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantLoan, and any relevant records and documents.

Notwithstanding any other provision of this Grant Agreement, ADB is neither obligated to make any disbursement from the Grant Account, except to the extent that ADB has received the Government of New Zealand grant funds, nor is it acting as a representative of the Government of New Zealand.

(a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for the imprest account/account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's ’s representatives to inspect the ProjectProject facilities, the goods financed out all other plants, sites, properties and equipment of the proceeds of the GrantBorrower and/or AWSC, and any relevant records and documents. Section 4.04. The Borrower shall take all action which shall be necessary on its part to enable AWSC to perform its obligations under the Project Agreement, including the establishment and maintenance of tariffs as stipulated in paragraph 7 of Schedule 5 to this Loan Agreement, and shall not take or permit any action which would interfere with the performance of such obligations. (a) The Borrower shall exercise its rights under the Subsidiary Loan Agreement in such a manner as to protect the interests of the Borrower and ADB and to accomplish the purposes of the Loan. (b) No rights or obligations under the Subsidiary Loan Agreement shall be assigned, amended, or waived without the prior concurrence of ADB.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant the Loan Agreement. (a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expendituresAgreement), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(asubsection (a) hereabovehereinabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADBor cause ADB to be enabled, upon ADB's request, to discuss the RecipientBorrower’s and MAF/LPA's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantLoan, and any relevant records and documents.

(b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, Project and the goods Goods financed out of the proceeds of the GrantLoan, and any relevant records and documents. Section 4.04. The Borrower shall cause RMA to carry out the Project with due diligence and efficiency and in conformity with sound administrative, financial and prudential practice, and shall not take or permit any action, or allow any delay, which would interfere with RMA’s performance of such obligations.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Borrower shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant Loan Agreement. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six (6) months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the GrantLoan, and any relevant records and documents.

Particular Covenants. Section 4.013.01. In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant the Special Operations Loan Agreement. Section 3.02. The Recipient shall maintain, and cause the PMU-MT to maintain, records and accounts adequate to identify the goods and services and other items of expenditure financed out of the proceeds of the Government of Australia Grant, separately from the records and accounts for the purpose of the Special Operations Loan. (a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Government of Australia Grant financed portion of the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six (6) months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Government of Australia Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a3.03(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.033.04. The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Government of Australia Grant, and any relevant records and documents. Section 3.05. Notwithstanding any other provision of this Grant Agreement, ADB is neither obligated to make any disbursement from the Government of Australia Grant Account, except to the extent that ADB has received the Government of Australia Grant funds, nor is it acting as a representative of the Government of Australia.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Beneficiary shall perform, or cause to be performed, all obligations set forth in Schedule 4 6 to this Grant Financing Agreement. (a) The Recipient Beneficiary shall (i) maintain, or cause to be maintained, separate accounts for the Project, including separate accounts for the Loan and the Grant; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 4 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Loan proceeds and the Grant proceeds and compliance with the financial covenants of this Grant Financing Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Beneficiary shall enable ADB, upon ADB's request, to discuss the Recipient’s Beneficiary's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Beneficiary pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Beneficiary unless the Recipient Beneficiary shall otherwise agree. Section 4.03. The Recipient Beneficiary shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Loan and the Grant, and any relevant records and documents.

(a) The Recipient shall shall: (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as a separate opinion on the use of the procedures for imprest account/SGIA and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabovehereinabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. (b) The Recipient Borrower shall enable ADB, upon ADB's ’s request, to discuss the RecipientBorrower’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(asubparagraph (a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree.agree.‌ Section 4.03. The Recipient Borrower shall enable ADB's ’s representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six (6) months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/, second generation imprest accounts, statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the GrantLoan, and any relevant records and documents. Section 4.04. The Borrower shall take all action which shall be necessary on its part to enable THWSC to perform its obligations under the Project Agreement, and shall not take or permit any action which would interfere with the performance of such obligations. (a) The Borrower shall exercise its rights under the SLA in such a manner as to protect the interests of the Borrower and ADB and to accomplish the purposes of the Loan. (b) No rights or obligations under the SLA shall be assigned, amended, or waived without the prior concurrence of ADB.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Borrower shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant Loan Agreement. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expendituresLoan Agreement), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereaboveBorrower's auditors, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. Without limiting the generality of Section 6.05(a) of the Loan Regulations, the Borrower shall furnish, or cause to be furnished, to ADB quarterly reports on the carrying out of the Project and on the operation and management of the Project facilities. Section 4.04. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantLoan, and any relevant records and documents.

(a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/accounts and statement of expenditures), ) all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expendituresAgreement), all in the English language; and (iv) furnish to ADB a certificate on the use of the ADF resources for AMCs which are also ADF-eligible borrower DMCs as specified in Section 3.01 of this Grant Agreement, and information on the use of TASF and JSF resources for AMCs which are also non-ADF-eligible borrower DMCs, and such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient shall perform, or cause to be performed, all obligations set forth in Schedule 4 to this Grant Agreement. (a) The Recipient shall Borrower shall: (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the GrantLoan, and any relevant records and documents.

(b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(asubsection (a) hereabovehereinabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

(a) The Recipient shall (i) maintain, or cause to be maintained, and shall cause CAA to maintain separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s and CAA’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereaboveRecipient’s and CAA’s auditors, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods Goods financed out of the proceeds of the Grant, and any relevant records and documents.

Particular Covenants. Section 4.01. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as a separate opinion on the use of the procedures for imprest account/account and statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(asubparagraph (a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

(a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 six months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' ’ opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/statement of expenditures), ) all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's ’s request, to discuss the RecipientBorrower’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's ’s representatives to inspect the Project, Project facilities, the goods Goods and Works financed out of the proceeds of the GrantLoan, all other plants, sites, properties and equipment of the Borrower, and any relevant records and documents.

(a) The Recipient shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant proceeds and compliance with the financial covenants of this Grant Agreement as well as on the use of the procedures for imprest account/statement of expenditures)Agreement, all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabovehereinabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods Works financed out of the proceeds of the Grant, and any relevant records and documents. Section 4.04. Notwithstanding any other provision of this Grant Agreement, ADB is neither obligated to make any disbursement from the Grant Account, except to the extent that ADB has received the Government of Australia grant funds, nor is it acting as a representative of the Government of Australia. As the Grant may be made available in installments, the applicable exchange rate for the conversion of the Grant from Australian dollars to Dollars shall be reasonably determined by ADB on the dates ADB receives each such installment. The Dollar amounts made available to the Recipient will be adjusted, if necessary, depending on the actual exchange rates used for the Grant funds. ADB assumes no liability for any exchange rate fluctuations during ADB's administration of the Grant.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Sri Lanka shall perform, or cause to be performed, all obligations set forth in Schedule 4 to this Grant Loan Agreement. (a) The Recipient Sri Lanka shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Sri Lanka shall enable ADB, upon ADB's request, to discuss the Recipient’s Sri Lanka's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Sri Lanka pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Sri Lanka unless the Recipient Sri Lanka shall otherwise agree. Section 4.03. The Recipient Sri Lanka shall enable ADB's ’s representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the Grant, Loan and any relevant records and documents. Section 4.04. Sri Lanka shall take all action which shall be necessary on its part to enable NPC and EPC to perform their obligations under the Project Agreement and shall not take or permit any action which would interfere with the performance of such obligations.

Particular Covenants. Section 4.01. In the carrying out of the Project and operation of the Project facilities, the Recipient Borrower shall perform, or cause to be performed, all obligations set forth in Schedule 4 5 to this Grant Loan Agreement. (a) The Recipient Borrower shall (i) maintain, or cause to be maintained, separate accounts for the Project; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' ’ opinion on the use of the Grant Loan proceeds and compliance with the financial covenants of this Grant Loan Agreement as well as on the use of the procedures for imprest account/statement of expenditures), all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Borrower shall enable ADB, upon ADB's ’s request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. Section 4.03. The Recipient Borrower shall enable ADB's ’s representatives to inspect the Project, the goods Goods and Works financed out of the proceeds of the GrantLoan, and any relevant records and documents.

Section 4.03. The Recipient shall take all action which shall be necessary on its part to enable ADB's representatives NEA to inspect perform its obligations under the ProjectProject Agreement, including the goods financed out establishment and maintenance of tariffs as stipulated in paragraphs 10 and 11 of Schedule 4 to this Grant Agreement, and shall not take or permit any action which would interfere with the performance of such obligations. (a) The Recipient shall exercise its rights under the Subsidiary Grant Agreement in such a manner as to protect the interests of the proceeds Recipient and ADB and to accomplish the purposes of the Grant. (b) No rights or obligations under the Subsidiary Grant Agreement shall be assigned, and any relevant records and documentsamended, or waived without the prior concurrence of ADB.

(b) The Recipient shall enable ADB, upon ADB's request, to discuss the Recipient’s financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient unless the Recipient shall otherwise agree. Section 4.03. The Recipient shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the Grant, and any relevant records and documents.

(b) The Recipient Borrower shall enable ADB, upon ADB's request, to discuss the Recipient’s Borrower's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Borrower pursuant to Section 4.02(asubparagraph (a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Borrower unless the Recipient Borrower shall otherwise agree. The Recipient Borrower shall enable ADB's representatives to inspect the Project, the goods financed out of the proceeds of the GrantGoods and Works, and any relevant records and documents.

(a) The Recipient shall Beneficiary shall: (i) maintain, or cause to be maintained, separate accounts for the Project, including separate accounts for the Loan and the Grant; (ii) have such accounts and related financial statements audited annually, in accordance with appropriate auditing standards consistently applied, by independent auditors whose qualifications, experience and terms of reference are acceptable to ADB; (iii) furnish to ADB, as soon as available but in any event not later than 6 months after the end of each related fiscal year, certified copies of such audited accounts and financial statements and the report of the auditors relating thereto (including the auditors' opinion on the use of the Loan proceeds and the Grant proceeds and compliance with the financial covenants of this Grant Financing Agreement as well as on the use of the procedures for imprest account/accounts and statement of expenditures)expenditures procedures, all in the English language; and (iv) furnish to ADB such other information concerning such accounts and financial statements and the audit thereof as ADB shall from time to time reasonably request. (b) The Recipient Beneficiary shall enable ADB, upon ADB's request, to discuss the Recipient’s Beneficiary's financial statements for the Project and its financial affairs related to the Project from time to time with the auditors appointed by the Recipient Beneficiary pursuant to Section 4.02(a) hereabove, and shall authorize and require any representative of such auditors to participate in any such discussions requested by ADB, provided that any such discussion shall be conducted only in the presence of an authorized officer of the Recipient Beneficiary unless the Recipient Beneficiary shall otherwise agree. Section 4.03. The Recipient Beneficiary shall enable ADB's representatives to inspect the Project, the goods Goods financed out of the proceeds of the Loan and/or the Grant, and any relevant records and documents.
