Common use of Particular Covenants Clause in Contracts

Particular Covenants. (a) RDA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDA. Section 2.02. RDA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA shall employ competent and qualified contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice.

Section 2.07. (a) ADB and MDF shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

PGCB shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and PGCB shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Section 2.02. RDA SMEDA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA SMEDA shall employ competent and qualified contractorsconsultants, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. (a) RDA ADB and SMEDA shall take out and maintain with responsible insurers, or make other arrangements satisfactory cooperate fully to ADB for, insurance against such risks and in such amounts as shall ensure that the purposes of the Loan will be consistent with sound practiceaccomplished.

(a) RDA The PCs shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and development renewable energy and rural electrification practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA the PCs shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe PCs. Section 2.02. RDA The PCs shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the PCs shall employ competent and qualified contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Without limiting the generality of the foregoing, RDA shall undertake to insure, or cause to be insured, the goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such goods. RDA shall maintain, or cause to be maintained, records and accounts adequate to identify the goods and services financed out of the proceeds of the Loan, to disclose the use thereof in the Project and subprojects, to record the progress of the Project and Subprojects (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and RDA shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

(b) In the carrying out of the Project and operation of the Project facilities, RDA CAAN shall perform all obligations set forth in the Loan Agreements Financing Agreement to the extent that they are applicable to RDACAAN. Section 2.02. RDA CAAN shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, servicesservices equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan and the Grant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA CAAN shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures goods and services to be financed out of the proceeds of the Loan and the Grant shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Financing Agreement. ADB may refuse to finance a contract where any such item has goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower Nepal and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA CAAN shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA CAAN shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (a) RDA CAAN shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, CAAN undertakes to insure, or cause to be insured, the goods to be imported for the Project and to be financed out of the proceeds of the Loan or the Grant against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such goods. Section 2.06. CAAN shall maintain, or cause to be maintained, records and accounts adequate to identify the goods and services and other items of expenditure financed out of the proceeds of the Loan or the Grant, to disclose the use thereof in the Project, to record the progress of the Project and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and CAAN shall cooperate fully to ensure that the purposes of the Loan and the Grant will be accomplished.

(a) RDA DPDC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and power sector development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA DPDC shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDADPDC. RDA DPDC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA DPDC shall employ competent and qualified contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA DPDC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA DPDC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA DPDC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, for insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, DPDC undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. DPDC shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and DPDC shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA IPBC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA IPBC shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDAIPBC. Section 2.02. RDA IPBC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA IPBC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA IPBC shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Initial Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA IPBC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA IPBC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA IPBC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, IPBC undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. IPBC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and IPBC shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA DWASA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA DWASA shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDADWASA. Section 2.07. (a) ADB and DWASA shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA CEB shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA CEB shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDACEB. Section 2.02. RDA CEB shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. CEB shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and CEB shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA PGCB shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA PGCB shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDAPGCB. Section 2.02. RDA PGCB shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA PGCB shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA PGCB shall procure all items of expenditures to be financed out of the proceeds of the Loan Loans in accordance with the provisions of Schedule 4 to the Special Ordinary Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA PGCB shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA PGCB shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (a) RDA PGCB shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. PGCB shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and PGCB shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA STELCO shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA STELCO shall perform all obligations set forth in the Loan Agreements Grant Agreement to the extent that they are applicable to RDASTELCO. Section 2.02. RDA STELCO shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansGrant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA STELCO shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA STELCO shall procure all items of expenditures to be financed out of the proceeds of the Loan Grant in accordance with the provisions of Schedule 4 3 to the Special Operations Loan Grant Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA STELCO shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA STELCO shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. STELCO shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grant, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and STELCO shall cooperate fully to ensure that the purposes of the Grant will be accomplished.

Particular Covenants. (a) RDA EPC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA EPC shall perform all obligations set forth in the Loan Grant Agreements to the extent that they are applicable to RDAEPC. Section 2.02. RDA EPC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as required, in addition to the proceeds of the LoansGrants, for the carrying out of the Project. (a) In the carrying out of the Project, RDA EPC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA EPC shall procure all items of expenditures to be financed out of the proceeds of the Loan Grants in accordance with the provisions of Schedule 4 3 to the Special Operations Loan Grant Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower Recipient and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA EPC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA EPC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA EPC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, EPC undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. EPC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grants, to disclose the use thereof in the Project, to record the progress of the Project and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and EPC shall cooperate fully to ensure that the purposes of the Grants will be accomplished.

Particular Covenants. (a) RDA CMC shall carry out the CMC Part of the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA CMC shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDACMC. Section 2.02. RDA CMC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA CMC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA CMC shall procure all items of expenditures to be financed out of the proceeds of the Loan Loans in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA CMC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA CMC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA CMC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, CMC undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. CMC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and CMC shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA the State shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental, and state road development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA the State shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe State. Section 2.02. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment, land, and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. Section 2.04. RDA The State shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to as agreed with ADB. RDA The State shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA The State shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, the State undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. The State shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and the State shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA NMSA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA NMSA shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDANMSA. Section 2.02. RDA NMSA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA NMSA shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA NMSA shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA NMSA shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA NMSA shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. Without limiting the generality of the foregoing, NMSA undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. NMSA shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) RDA ADB and NMSA shall take out and maintain with responsible insurers, or make other arrangements satisfactory cooperate fully to ADB for, insurance against such risks and in such amounts as shall ensure that the purposes of the Loan will be consistent with sound practiceaccomplished.

Particular Covenants. (a) RDA Punjab shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental, and development environmental improvement practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA Punjab shall perform all obligations set forth in each of the Loan Agreements to the extent that they are applicable to RDAPunjab. Section 2.02. RDA Punjab shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA Punjab shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures goods and services to be financed out of the proceeds of the Loan Loans shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA Punjab shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA Punjab shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA Punjab shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, Punjab undertakes to insure, or cause to be insured, the goods to be imported for the Project and to be financed out of the proceeds of the Loans against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such goods. Section 2.06. Punjab shall maintain, or cause to be maintained, records and accounts adequate to identify the goods and services and other items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and Punjab shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA Each Company shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and development water supply and sanitation practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA each Company shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAeach Company. Section 2.02. RDA Each Company shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA each Company shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA each Company shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA Each Company shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA Each Company shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA Each Company shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, each Company undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. Each Company shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and the Company shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA The State shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA HP shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe State. Section 2.02. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, services land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all the items of expenditures to be financed out of the proceeds of the Loan shall be procured in accordance with the applicable provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA HP shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA The State shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (b) In the carrying out of the Project and operation of the Project facilities, RDA KMK shall perform all obligations set forth in the Loan Agreements Grant Agreement to the extent that they are applicable to RDAKMK. Section 2.02. RDA KMK shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansGrant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA KMK shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA KMK shall procure all items of expenditures to be financed out of the proceeds of the Loan Grant in accordance with the provisions of Schedule 4 3 to the Special Operations Loan Grant Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower Recipient and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA KMK shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA KMK shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA KMK shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. KMK shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grant, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and KMK shall cooperate fully to ensure that the purposes of the Grant will be accomplished.

Particular Covenants. (a) RDA Each DISCO shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA each DISCO shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe DISCO. Section 2.02. RDA Each DISCO shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA each DISCO shall employ competent and qualified contractorscontractors and consultants, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA the DISCO shall procure all items of expenditures expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA Each DISCO shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA Each DISCO shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Each DISCO shall maintain records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and each DISCO shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA The State shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and urban development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA the State shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe State. Section 2.02. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA The State shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA The State shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (b) In the carrying out of the Project and operation of the Project facilities, RDA NEGU shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDANEGU. Section 2.02. RDA NEGU shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA NEGU shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA NEGU shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. NEGU shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and NEGU shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA UCSA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA UCSA shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAUCSA and all obligations set forth in the Schedule to this Project Agreement. Section 2.02. RDA UCSA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA UCSA shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA USCA shall procure all items of expenditures to be financed out of the proceeds of the Loan expenditure in accordance with the applicable provisions of Schedule 4 to the Special Operations this Loan Agreement. ADB may refuse to finance a contract where any such item has items have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA UCSA shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA UCSA shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA UCSA shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing UCSA undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. UCSA shall maintain, or cause to be maintained, records and accounts adequate to identify items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and UCSA shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA NPT shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and development power transmission practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA NPT shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDANPT. Section 2.02. RDA NPT shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA NPT shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and Consulting Services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or Consulting Services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA NPT shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA NPT shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA NPT shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, NPT undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. NPT shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and Consulting Services financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and NPT shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA NPT shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. Section 2.07. (a) ADB and NPT shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA SOCC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA SOCC shall perform all obligations set forth in the Loan Agreements Financing Agreement to the extent that they are applicable to RDASOCC. Section 2.02. RDA SOCC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan and the Grant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA SOCC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA SOCC shall procure all items of expenditures to be financed out of the proceeds of the Loan and the Grant in accordance with the provisions of Schedule 4 to the Special Operations Loan Financing Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA SOCC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA SOCC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA SOCC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to SOCC and ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, SOCC undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. SOCC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loan and the Grant, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and SOCC shall cooperate fully to ensure that the purposes of the Loan and the Grant will be accomplished.

Particular Covenants. (a) RDA The State shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental, and state road development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA the State shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe State. Section 2.02. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment, land, and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA The State shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to as agreed with ADB. RDA The State shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA The State shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, the State undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. The State shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and the State shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA NAC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA NAC shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDANAC. Section 2.02. RDA NAC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA NAC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA NAC shall procure all items of expenditures to be financed out of the proceeds of the Loan Loans in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. NAC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and NAC shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA NAA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businesspublic financial management, and development audit practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA NAA shall perform all obligations set forth in the Loan Agreements Grant Agreement to the extent that they are applicable to RDANAA. Section 2.02. RDA NAA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment, and other resources as which are required, in addition to the proceeds of the LoansGrant, for the carrying out of the Project. (a) In the carrying out of the ProjectProject and where agreed with ADB, RDA NAA shall employ competent and qualified contractorsconsultants, acceptable to ADBas selected by ADB on behalf of the Recipient, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods and services to be financed out of the proceeds of the Loan Grant shall be procured in accordance with the provisions of Schedule 3 and Schedule 4 to the Special Operations Loan Grant Agreement. ADB may refuse to finance a contract where any such item has Goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower Recipient and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA NAA shall carry out the Project in accordance with plans, design standards, specifications, and work schedules and construction methods acceptable to ADB. RDA NAA shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA NAA shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB forADB, for insurance of Goods financed under the Project, including the vehicle and computer hardware and software system to such extent and against such risks and in such amounts as shall be consistent with sound practice.

Particular Covenants. (a) RDA CAAN shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and development aviation industry management practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA CAAN shall perform all obligations set forth in the Loan Agreements Financing Agreement to the extent that they are applicable to RDACAAN. Section 2.02. RDA CAAN shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, servicesservices equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan and the Grant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA CAAN shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA all Goods, Works and Consulting Services shall procure all items of expenditures to be financed out of the proceeds of the Loan procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Financing Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or Consulting Services have not been procured under procedures substantially in accordance with those agreed between the Borrower Nepal and ADB ADB, or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA CAAN shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA CAAN shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA CAAN shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. CAAN shall be deemed to have opted for self-insurance in the absence of any specific insurance for the Project. (b) Without limiting the generality of the foregoing, CAAN undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such goods. Section 2.06. CAAN shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and Consulting Services to disclose the use thereof in the Project, to record the progress of the Project and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and CAAN shall cooperate fully to ensure that the purposes of the Loan and the Grant will be accomplished.

Particular Covenants. (a) RDA VNR shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental, railway and development public utility practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA VNR shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAVNR. Section 2.02. RDA VNR shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA VNR shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA VNR shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA VNR shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (b) Without limiting the generality of the foregoing, VNR undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. VNR shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and VNR shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA BPDB shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and power sector development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA BPDB shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDABPDB. Section 2.02. RDA BPDB shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA BPDB shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. Section 2.06. BPDB shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and BPDB shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA NUC shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA NUC shall perform all obligations set forth in the Loan Grant Agreements to the extent that they are applicable to RDANUC. Section 2.02. RDA NUC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as required, in addition to the proceeds of the LoansGrants, for the carrying out of the Project. (a) In the carrying out of the Project, RDA NUC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA NUC shall procure all items of expenditures to be financed out of the proceeds of the Loan Grants in accordance with the provisions of Schedule 4 3 to the Special Operations Loan Grant Agreement and Schedule 2 to the EU Grant Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower Recipient and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA NUC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA NUC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA NUC shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, NUC undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. NUC shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grants, to disclose the use thereof in the Project, to record the progress of the Project and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and NUC shall cooperate fully to ensure that the purposes of the Grants will be accomplished.

Particular Covenants. (a) RDA AWSC shall carry out implement the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and development water supply and sanitation practices. (b) In the carrying out implementation of the Project and operation of the Project facilities, RDA AWSC shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAAWSC. Section 2.02. RDA AWSC shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land services and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA AWSC shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA AWSC shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA AWSC shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (b) Without limiting the generality of the foregoing, AWSC undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. AWSC shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and AWSC shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA MUB shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA MUB shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDAMUB. Section 2.02. RDA MUB shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoans and Grant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA MUB shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA MUB shall procure all items of expenditures to be financed out of the proceeds of the Loan Loans in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA MUB shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA MUB shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. (a) RDA MUB shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, MUB undertakes to insure, or cause to be insured, the Goods to be imported for the Project against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. MUB shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans and Xxxxx, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and MUB shall cooperate fully to ensure that the purposes of the Loans and Xxxxx will be accomplished.

Particular Covenants. (b) In the carrying out of the Project and operation of Project, the Project facilities, RDA State shall perform all obligations set forth in the TA Loan Agreements Agreement to the extent that they are applicable to RDAthe State. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment, and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations TA Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA all Goods, Works and Consulting Services shall procure all items of expenditures to be financed out of the proceeds of the Loan procured in accordance with the provisions of Schedule Schedules 4 and 5 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or Consulting Services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA The State shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA The State shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA The State shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB forADB, for insurance of Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. (b) Without limiting the generality of the foregoing, the State undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. The State shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and Consulting Services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and the State shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

Particular Covenants. (a) RDA CEB and SEA shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA CEB and SEA shall perform all obligations set forth in the Loan Agreements to the extent that they these are applicable to RDAthem. Section 2.02. RDA CEB and SEA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, needed the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA CEB and SEA shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures to be financed out of the proceeds of the Loan shall be procured in accordance with the applicable provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. (b) In the carrying out of the Project and operation of the Project facilities, RDA SWA shall perform all obligations set forth in the Loan Agreements Financing Agreement to the extent that they are applicable to RDASWA. Section 2.02. RDA SWA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, servicesservices equipment, land and other resources as which are required, in addition to the proceeds of the LoansLoan and the Grant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA SWA shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures goods and services to be financed out of the proceeds of the Loan and the Grant shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to the Special Operations Loan Financing Agreement. ADB may refuse to finance a contract where any such item has goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower Beneficiary and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA SWA shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA SWA shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA SWA shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, for insurance of the Project facilities to such extent and against such risks and in such amounts as shall be consistent with sound practice. Section 2.06. SWA shall maintain, or cause to be maintained, records and accounts adequate to identify the goods and services and other items of expenditure financed out of the proceeds of the Loan or the Grant, to disclose the use thereof in the Project, to record the progress of the Project and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and SWA shall cooperate fully to ensure that the purposes of the Loan and the Grant will be accomplished.

Particular Covenants. (a) RDA SFDB shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA SFDB shall perform all obligations set forth in the Loan Agreements Grant Agreement to the extent that they are applicable to RDASFDB, and all obligations set forth in the Schedule to this Project Agreement. Section 2.02. RDA SFDB shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansGrant, for the carrying out of the Project. (a) In the carrying out of the Project, RDA SFDB shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA SFDB shall procure all items of expenditures to be financed out of the proceeds of the Loan Grant in accordance with the provisions of Schedule 4 3 to the Special Operations Loan Grant Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower Recipient and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA SFDB shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA SFDB shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. Section 2.05. (a) RDA SFDB shall take out and maintain with responsible insurers, or make other arrangements satisfactory to ADB for, insurance against such risks and in such amounts as shall be consistent with sound practice. SFDB shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grant, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and SFDB shall cooperate fully to ensure that the purposes of the Grant will be accomplished.

Particular Covenants. (a) RDA PPL shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA PPL shall perform all obligations set forth in each of the Loan Agreements to the extent that they are applicable to RDAPPL. Section 2.02. RDA PPL shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, land and other resources as which are required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA PPL shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA all Goods, Works and Consulting Services shall procure all items of expenditures to be financed out of the proceeds of the Loan procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or Consulting Services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.06. PPL shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and Consulting Services and other items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and PPL shall cooperate fully to ensure that the purposes of the Loans will be accomplished.

Particular Covenants. (a) RDA DESCO shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technicaladministrative, financial, businessengineering, environmental and power sector development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA DESCO shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDADESCO. Section 2.02. RDA DESCO shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land equipment and other resources as which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA DESCO shall employ competent and qualified contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA DESCO shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. (b) Without limiting the generality of the foregoing, DESCO undertakes to insure, or cause to be insured, the Goods to be imported for the Project and to be financed out of the proceeds of the Loan against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation, and for such insurance any indemnity shall be payable in a currency freely usable to replace or repair such Goods. Section 2.06. DESCO shall maintain, or cause to be maintained, records and accounts adequate to identify the Goods, Works and consulting services and other items of expenditure financed out of the proceeds of the Loan, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and DESCO shall cooperate fully to ensure that the purposes of the Loan will be accomplished.

(b) In the carrying out of the Project and operation of the Project facilities, RDA shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDA. Section 2.02. RDA shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, equipment, office space, land and other resources as resources, which are required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA shall procure all items of expenditures Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. (b) In the carrying out of the Project and operation of the Project facilities, RDA the State through UDD shall perform all obligations set forth in the Loan Agreements Agreement to the extent that they are applicable to RDAthe State. Section 2.02. RDA The State shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansLoan, for the carrying out of the Project. (a) In the carrying out of the Project, RDA the State through UDD shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA the State through UDD shall procure all items of expenditures to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. RDA DABS shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the LoansGrants, for the carrying out of the Project. (a) In the carrying out of the Project, RDA DABS shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. DABS shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Grants, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and DABS shall cooperate fully to ensure that the purposes of the Grants will be accomplished.

Particular Covenants. (a) RDA MDF shall carry out the Project with due diligence and efficiency, and in conformity with sound applicable technical, financial, business, and development practices. (b) In the carrying out of the Project and operation of the Project facilities, RDA MDF shall perform all obligations set forth in the Loan Agreements to the extent that they are applicable to RDAMDF. Section 2.02. RDA MDF shall make available, promptly as needed, and on terms and conditions acceptable to ADB, the funds, facilities, services, land and other resources as required, in addition to the proceeds of the Loans, for the carrying out of the Project. (a) In the carrying out of the Project, RDA MDF shall employ competent and qualified consultants and contractors, acceptable to ADB, to an extent and upon terms and conditions satisfactory to ADB. (b) Except as ADB may otherwise agree, RDA MDF shall procure all items of expenditures to be financed out of the proceeds of the Loan Loans in accordance with the provisions of Schedule 4 to the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 2.04. RDA MDF shall carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB. RDA MDF shall furnish, or cause to be furnished, to ADB, promptly after their preparation, such plans, design standards, specifications and work schedules, and any material modifications subsequently made therein, in such detail as ADB shall reasonably request. MDF shall maintain, or cause to be maintained, records and accounts adequate to identify the items of expenditure financed out of the proceeds of the Loans, to disclose the use thereof in the Project, to record the progress of the Project (including the cost thereof) and to reflect, in accordance with consistently maintained sound accounting principles, its operations and financial condition. Section 2.07. (a) ADB and MDF shall cooperate fully to ensure that the purposes of the Loans will be accomplished.
