PARTIES AND PREMISES. MASSACHUSETTS INSTITUTE OF TECHNOLOGY ("Lessor") hereby LEASES unto MILLENNIUM PHARMACEUTICALS, INC. ("Lessee"), the following premises: Approximately 159,995 square feet of rentable area consisting of the entire first, second, third and fifth floors and the eastern portion of the fourth floor, shown as the cross-hatched area on EXHIBIT A attached hereto (the "Premises"), in the building known as and numbered 000 Xxxxxxxx Xxxxx, Xxxxxxxxx, Xxxxxxxxxxxxx, containing a total of 182,124 rentable square feet (the "Building"), which is located on the parcel of land shown on EXHIBIT B attached hereto (the "Land"), together with the benefit of, and subject to (as the case may be) all rights, easements, covenants, conditions, encumbrances, encroachments and restrictions of record as of the date of this Lease, which matters are set forth on the copy of Lessor's Certificate of Title to the Land attached hereto as EXHIBIT F (the "Permitted Encumbrances"), which Permitted Encumbrances shall not materially affect Lessee's use or occupancy of the Premises for the "Permitted Uses" hereunder (as defined in Section 4.0 below). Lessor shall have the right, without the necessity of obtaining Lessee's consent thereto or joinder therein, to grant, permit, or enter into during the term of this Lease such additional rights, easements, covenants, conditions, encumbrances, encroachments and restrictions with respect to the Land as Lessor may deem appropriate, PROVIDED THAT no such rights, easements, covenants, conditions, encumbrances, encroachments or restrictions shall materially affect Lessee's use of the Premises for the "Permitted Uses" (as defined in Section 4.0 below). Lessor hereby reserves the right to maintain, use, repair and replace pipes, ducts, wires, meters and any other equipment, machinery, apparatus and fixtures located within the Premises and serving other parts of the Building. Lessee, its employees and invitees shall have access to the Premises at all times, subject to the provisions of Section 11.0(h) below.

The Premises are shown on EXHIBIT B attached hereto (the "Land"), together with the benefit of, and subject to (as the case may be) all rights, easements, covenants, conditions, encumbrances, encroachments and restrictions of record as of the date of this Lease, which matters are set forth on the copy of Lessor's Certificate of Title to the Land floor plan attached hereto as EXHIBIT F (Exhibit A-2 and made a part hereof, provided, however, Landlord excepts and reserves from the "Permitted Encumbrances")Premises and to Landlord all hallways, which Permitted Encumbrances shall not materially affect Lessee's use or occupancy stairways and, if any, serving other parts of the Premises for the "Permitted Uses" hereunder (as defined in Section 4.0 below). Lessor shall have the right, without the necessity of obtaining Lessee's consent thereto or joinder therein, to grant, permit, or enter into during the term of this Lease such additional rights, easements, covenants, conditions, encumbrances, encroachments and restrictions building together with respect to the Land as Lessor may deem appropriate, PROVIDED THAT no such rights, easements, covenants, conditions, encumbrances, encroachments or restrictions shall materially affect Lessee's use of the Premises for the "Permitted Uses" (as defined in Section 4.0 below). Lessor hereby reserves the right to maintain, use, repair and replace pipes, ducts, wires, meters and any other equipment, machinery, apparatus and fixtures located within in the Premises and serving other parts of the BuildingBuilding and/or Property. LesseeFor the purpose of this Lease, its the Property shall be deemed to contain the Premises Rentable Floor Area and all of the buildings on the Property shall be deemed to contain a total of 79,000 square feet of rentable floor area (unless subsequently altered by written notice to Tenant caused by change in the rentable floor area of the Building or other buildings on the Property, in which case the Pro Rata share shall be appropriately adjusted).The Premises shall be used by Tenant and all parties claiming by, through, and under Tenant for the Permitted Use, and for no other purpose or use. Subject to the following limitations, Tenant shall be entitled to use throughout the Lease term (including any extensions) twenty-five (25) parking spaces for the transient, not overnight, parking of automobiles as follows: (a) Tenant shall have the non-exclusive right of access, in common with other tenants at the Property and their employees and invitees patrons, to eighteen (18) parking spaces in the parking areas at the Property, and (b) Tenant shall have access the exclusive right to use seven (7) parking spaces adjacent to the Premises in the location shown on the plan annexed as Exhibit A-1 to this Lease. Landlord reserves the right to designate separate employee and patron parking areas, uniformly applied to similarly situated tenants at the Property. Landlord shall have the right at all timestimes and from time to time to designate or change the location, subject size or configuration of the Building, including the common areas and facilities, for a specific tenant's use or specific restriction and to modify, reduce or replace the provisions common areas and facilities and to permit expansion and new construction anywhere upon the Property (which right shall be exercised in a manner designed to reasonably minimize any interruption of Section 11.0(h) belowTenant's business). Landlord, at Landlord's sole cost and expense, shall have the right from time to time to expand, add to or reduce the size of the Property beyond its present boundaries (which right shall be exercised in a manner designed to reasonably minimize any interruption of Tenant's business).
