Common use of Parties' Consent to Arbitration Clause in Contracts

Parties' Consent to Arbitration. Except as otherwise provided in this Agreement, GUESS and LICENSEE consent and submit to the exclusive jurisdiction and venue of the State of California, County of Los Angeles, for the adjudication of any dispute between GUESS and LICENSEE that arises out of or relates to this Agreement. Except as provided in this Agreement, any dispute, controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration heard by one (1) arbitrator (who shall be an attorney with experience in trademark matters), in accordance with the Commercial Arbitration Rules ("Rules") of the American Arbitration Association. The arbitrator shall be appointed in accordance with the Rules. The parties hereto agree that the venue of such arbitration shall be the County of Los Angeles, California.

Except as provided in this Agreement, any dispute, controversy or claim arising out of or relating to this Agreement or breach thereof shall be settled by binding arbitration heard by one three (13) arbitrator (who shall be an attorney with experience in trademark matters)arbitrators, in accordance with the Commercial Arbitration Rules ("Rules") of the American Arbitration Association. The arbitrator arbitrators shall be appointed in accordance with the Rules. The parties hereto agree that the venue of such arbitration shall be the County City of Los Angeles, Los Angeles County, California.
