Common use of Partner to Pressbooks Clause in Contracts

Partner to Pressbooks. Partner represents and warrants to Pressbooks that: (a) Authority: (i) it has the full right, power and authority to enter into this Agreement; (ii) that Partner’s entering into this Agreement shall not result in a breach of or constitute a default under any agreement or instrument to which Partner is a party; (b) Projects: To the best of its knowledge, Partner Data and other material used in the creation of Projects does not violate any rights (including Intellectual Property Rights) of any third party. In case of violation of this sub-section by Partner or is Users, Partner shall indemnify Pressbooks as per section 9 of this Agreement.
