Common use of Partnership Documents Clause in Contracts

Partnership Documents. Seller has furnished to Buyer for its examination (i) a true, complete and correct copy of Seller's Articles or Agreement of Partnership and all other written agreements between the Partners, all as amended to date; (ii) true, complete and correct copies of the contents of the partnership or minute books of Seller (including proceedings of audit and other committees), each of which contains all records for all proceedings, consents, actions and meetings of the Partners since its date of formation.

Seller has furnished to Buyer Purchaser for its examination (i) a true, complete and correct copy of Seller's Articles or Agreement of Partnership partnership agreement and all other written agreements between the Partnerspartners of Seller, all as amended to date; (ii) true, complete and correct copies of the contents of the partnership or minute books of Seller (including proceedings of audit and other committees), each of which contains all records for all proceedings, consents, actions and meetings of the Partners partners of Seller since its date of formation.
