Partnership May Act. Nothing in this Agreement shall prohibit, derogate from or otherwise limit the ability of the Partnership (i) to incur any Indebtedness which is expressly without recourse to the Partners and for which the instrument or document creating or evidencing such Indebtedness includes a statement waiving any right, whether by statute, common law or otherwise, to proceed with respect to such Indebtedness against the Partners or (ii) to pursue any business opportunity in any area within the authorized scope of the Partnership as set forth in Section 2.05(b). Except as specified in Section 4.02(d) and (e), nothing in this Agreement shall prohibit, derogate from or otherwise limit the ability of the Governing Committee to delegate to any officer of the Partnership the authority vested in it to manage the business and affairs of the Partnership.
