Partnership Mergers. If this Agreement is signed by a member of a partnership, it shall apply to them and each of them individually. In the event of a dissolution or termination of said partnership or in the event of a merger, consolidation or other legal change whatsoever, with respect to employer, any obligations hereunder shall be binding upon any assignee, successor, legal representatives or lessee of such employer.

Partnership Mergers. SECTION 1. If this Agreement is signed by the member of a partnership, it shall apply to them and each of them individually while such partnership exists. One partner only to be allowed to work with the tools of the trade, during the duration of this Agreement.
Partnership Mergers. On the Closing Date, upon satisfaction in full of each condition set forth in Articles 10 and 11 of this Agreement or waiver by the appropriate party of such condition, for the consideration described in Part III of the Steps Memorandum and the Allocation Schedule, each of the Merger Partnerships shall merge with and into MAALP, with MAALP being the surviving limited partnership, pursuant to the provisions of, and with the effects set forth in, the Partnership Plans of Merger, the Tennessee Revised Uniform Limited Partnership Act, as amended, and the Georgia Revised Uniform Limited Partnership Act, as amended. Any Partnership Merger shall be effective upon filing with the Secretary of State of the State of Tennessee and the State of Georgia, respectively, a certificate of merger in compliance with the above- referenced statutes.

  • The Merger Closing (a) As soon as reasonably practicable on the Closing Date, the Company and Merger Subsidiary shall execute and file articles of merger with the Department of Financial Institutions of the State of Wisconsin and make all other filings or recordings required by the WBCL to be made in connection with the Merger. The Merger shall become effective at such time as the articles of merger are duly filed with the Department of Financial Institutions of the State of Wisconsin or, if agreed to by the Company and Parent, at such later time as is specified in the articles of merger (the "Effective Time").
