Pass-Through Requirement Sample Clauses
The Pass-Through Requirement clause obligates one party to ensure that certain terms, obligations, or requirements from an original agreement are incorporated into any subcontracts or agreements with third parties. In practice, this means that if a company hires a subcontractor, the company must require the subcontractor to comply with specific provisions—such as confidentiality, compliance, or performance standards—that the company itself is bound to under its main contract. Pass-Through Requirement. In the event the Agreement includes biomedical products where Philips can neither be trained nor purchase parts and must use the OEM to perform repairs or maintenance, Customer is responsible for all fees associated with the maintenance and repair of these items.
