Common use of Patent and Confidentiality Agreement Clause in Contracts

Patent and Confidentiality Agreement. The Executive hereby ratifies and confirms in all respects his obligations and responsibilities pursuant to the Employee Patent and Confidential Information Agreement between the Company and the Executive. Without limiting the generality of the foregoing, the Executive agrees that all documents, records, techniques, business secrets and other information which have and will come into his possession from time to time during his employment with the Company shall be deemed to be confidential and proprietary to the Company. The Executive shall retain in his confidence any confidential information known to him concerning the Company and its subsidiaries and their respective businesses and such information shall not be disclosed to any person or entity other than employees of the Company and its subsidiaries who have a need to know such information, nor shall the Executive use the same for any purpose (other than in the performance of his duties as an employee of the Company) without written approval by another officer of the Company, either during or after his employment with the Company, unless and until such information has become public knowledge without fault by the Executive.
