Common use of Patent and Copyright Registrations Clause in Contracts

Patent and Copyright Registrations. I agree to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company Group’s rights in the Inventions and any Intellectual Property Rights related thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, or its designee, the sole and exclusive right, title and interest in and to such Inventions and any Intellectual Property Rights relating thereto. I further agree that my obligation to execute or cause to be executed, when it is in my power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature to apply for or to pursue any application for any United States or foreign Intellectual Property Right covering Inventions assigned to the Company, or its designee, as above, then I hereby irrevocably designate and appoint the Company and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, or copyright, trademark or other registrations thereon with the same legal force and effect as if executed by me.

I agree Executive agrees to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company GroupCompany’s rights in the Inventions and any Intellectual Property Rights related thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, or its designee, Company the sole and exclusive right, title and interest in and to such Inventions and any Intellectual Property Rights relating thereto. I Executive further agree agrees that my Executive’s obligation to execute or cause to be executed, when it is in my Executive’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of my Executive’s mental or physical incapacity or for any other reason to secure my Executive’s signature to apply for or to pursue any application for any United States or foreign Intellectual Property Right covering Inventions assigned to the Company, or its designee, Company as above, then I Executive hereby irrevocably designate designates and appoint appoints the Company and its duly authorized officers and agents as my Executive’s agent and attorney in fact, to act for and in my Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, or copyright, trademark or other registrations thereon with the same legal force and effect as if executed by meExecutive.

If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature to apply for or to pursue any application for any United States or foreign Intellectual Property Right covering Inventions assigned to the Company, or its designee, as above, then I hereby irrevocably designate and appoint the Company and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, or copyright, trademark or other registrations thereon with the same legal force and effect as if executed by me.

I agree to take steps that may be necessary to assist the Company, or its designee, at the Company’s expense, in every proper way to complete the transfer of and secure the Company GroupCompany’s rights in the Inventions and any Inventions, Intellectual Property Rights related and any rights relating thereto in any and all countries, including by making the disclosure to the Company of all pertinent information and data with respect thereto, the execution of executing all applications, specifications, oaths, assignments and all other instruments which the Company shall deem proper or necessary in order to apply for for, register, obtain, maintain, defend, and obtain enforce such rights and in order to assign and convey to the Company, or its designeesuccessors, assigns, and nominees the sole and exclusive rightrights, title and interest in and to such Inventions and any Intellectual Property Rights rights relating thereto, and by testifying in a suit or other proceeding relating to such Inventions and any rights relating thereto. I further agree that my obligation to execute or cause to be executed, when it is in my power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature with respect to any Inventions including, without limitation, to apply for or to pursue any application for any United States or foreign Intellectual Property Right patents or copyright registrations covering Inventions assigned to the Company, or its designee, as abovesuch Inventions, then I hereby irrevocably designate and appoint the Company and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters patent, or copyright, trademark or other registrations thereon such Inventions with the same legal force and effect as if executed by me.

I further agree that my obligation to execute or cause to be executed, when it is in my power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature to apply for or to pursue any application for any United States or foreign Intellectual Property Right patents or copyright, trademark or other registrations covering Inventions assigned to the Company, or its designee, Company as above, then I hereby irrevocably designate and appoint the Company and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, or copyright, trademark or other registrations thereon with the same legal force and effect as if executed by me.

I agree to assist the CompanyIntraBiotics, or its designee, at the Company’s IntraBiotics' expense, in every proper way to secure the Company Group’s copyrights, patents, mask work rights in the Inventions and any Intellectual Property Rights related or other intellectual property rights relating thereto in any and all countries, including the disclosure disclosing to the Company of IntraBiotics all pertinent information and data with respect thereto, the execution of and executing all applications, specifications, oaths, assignments and all other instruments which the Company that IntraBiotics shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyIntraBiotics, or its designeesuccessors, assigns and nominees the sole and exclusive rightrights, title and interest in and to such Inventions Inventions, and any Intellectual Property Rights copyrights, patents, mask work rights or other intellectual property rights relating thereto. I further agree that my obligation to execute or cause to be executed, when it is in my power to do so, any such instrument or papers shall will continue after the termination of this Agreement. If the Company is unable because of my mental or physical incapacity or for any other reason to secure my signature to apply for or to pursue any application for any United States or foreign Intellectual Property Right patents or copyright registrations covering Inventions or original works of authorship assigned to the Company, or its designee, IntraBiotics as above, then I hereby irrevocably designate and appoint the Company IntraBiotics and its duly authorized officers and agents as my agent and attorney in fact, to act for and in my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent, patent or copyright, trademark or other copyright registrations thereon with the same legal force and effect as if executed by me.
