Non-Solicit of Employees. In light of each Member’s access to Confidential Information and position of trust and confidence with the Company, each Member further agrees that, during the Restricted Period, he shall not, directly or indirectly through one or more of any of their respective Affiliates, hire or solicit, or encourage any other Person to hire or solicit, any individual who has been employed by the Company within one year prior to the date of such hiring or solicitation, or encourage any such individual to leave such employment. This Section 9.2(b) shall not prevent a Member from hiring or soliciting any employee or former employee of the Company who responds to a general solicitation that is a public solicitation of prospective employees and not directed specifically to any Company employees.
Non-Solicit of Employees. During the Restricted Period, Employee willnot, directly or indirectly (on Employee's own behalf or on behalf of any other person or entity), {00000000;3) contact, recruit, solicit or otherwise seek to induce any employee or contractor of the Company to terminate his/her/its employment or engagement with the Company. This covenant applies to any employee or contractor who, at the time of such attempted recruitment/hire by Employee is currently employed or engaged with the Company or was previously employed or engaged with the Company within the eighteen (18) month period immediately preceding the termination of Employee's employment.
Non-Solicit of Employees. During the Restricted Period, Executive will be prohibited, to the fullest extent not prohibited by applicable law, from directly or indirectly, individually or on behalf of any person or entity, encouraging, inducing, attempting to induce, recruiting, attempting to recruit, soliciting or attempting to solicit or participating in the recruitment for employment, contractor or consulting opportunities anyone who is employed at that time by the Company or any subsidiary or affiliate.
Non-Solicit of Employees. During the Restricted Period, Executive will not, directly or indirectly, solicit, induce, entice or encourage to cease to work with the Company or any Subsidiary, or directly or indirectly hire, any person who is an employee of or consultant then under contract with the Company or any Subsidiary or who was an employee of or consultant then under contract with the Company or any Subsidiary within the six (6) month period preceding such activity without the Company’s written consent.
Non-Solicit of Employees. Executive recognizes that the Company’s employees are a valuable asset to the Company and represent a substantial investment of Company time and resources. Accordingly, during the Employment Period and for 2 years following the Date of Termination, Executive agrees not to, directly or indirectly, solicit or assist any other person or entity in soliciting any employee of the Parent, the Company, or any of their subsidiaries to perform services for any person or entity that are competitive to the Company or attempt to induce any such employee to leave the employment of the Parent, the Company, or their subsidiaries; provided, however, that the restrictions in this Section 7(d) only apply to such employees with whom Executive has obtained Confidential Information about or whom Executive had material contact with during the last 24 months before the Date of Termination; provided further, if Executive is terminated without Cause or Executive resigns for Good Reason (in accordance with this Agreement) at any time prior to the 1-year anniversary of the date of this Agreement, then the obligations in this Section 7(d) will terminate and not apply after the Date of Termination.
Non-Solicit of Employees. The Executive covenants and agrees that during the period commencing on the Termination Date and terminating on the one-year anniversary of the Termination Date, the Executive shall not directly or indirectly, as employee, agent, consultant, director, equity holder, member, manager, partner or in any other capacity, without the prior written consent of WSFS, solicit or induce any employee of Alliance, WSFS or any of their respective subsidiaries to leave the employ of such entities (excluding general solicitations of the public that are not based in whole or in part on any list of employees of such entities).
Non-Solicit of Employees. During the Restricted Period, Company will not, directly or indirectly (on Company’s own behalf or on behalf of any other person or entity) contact, recruit, solicit or otherwise seek to induce any employee or contractor of Client to terminate his/her employment or engagement with the Client. This covenant applies to any employee or contractor who, at the time of such attempted recruitment/hire by Company is currently employed or engaged with the Client or was previously employed or engaged with the Client within the eighteen (18) month period immediately preceding the termination of Company’s agreement.
Non-Solicit of Employees. Executive agrees that he shall not, directly or indirectly, during the Term and for the eighteen (18)-month period following the Termination Date, solicit or attempt to solicit, as applicable, any Company Group employee or individual who was a Company Group employee within the six (6) month period immediately prior thereto to terminate or otherwise alter his, her or its employment with the Company Group.
Non-Solicit of Employees. During the Restricted Period, Employee will not, directly or indirectly (on Employee's own behalf or on behalf of any other person or entity), contact, recruit, solicit or otherwise seek to induce any employee or contractor of the Company to terminate his/its employment or engagement with the Company. This covenant applies to any employee or contractor who, at the time of such attempted recruitment/hire by Employee is currently employed or engaged with the Company or was previously employed or engaged with the Company within the three (3) year period immediately preceding the termination of Employee's employment.
Non-Solicit of Employees. The Executive agrees that he will not, ------------------------ while employed by the Company and for a period of two (2) years following termination of such employment:
(i) directly solicit, encourage, or take any other action which is intended to induce any other employee of the Company or any of its subsidiaries to terminate his or her employment with the Company or any of its subsidiaries; or
(ii) directly interfere in any manner with the contractual or employment relationship between the Company or any of its subsidiaries and any such employee of the Company or any of its subsidiaries. The foregoing shall not prohibit the Executive or any entity with which the Executive may be affiliated from hiring a former or existing employee of the Company or any of its subsidiaries, provided that such hiring does not result from the direct actions of Executive.
