Common use of Patent and Copyright Registrations Clause in Contracts

Patent and Copyright Registrations. Executive agrees to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in any Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that the Company deems necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive further agrees that Executive’s obligations to execute or cause to be executed, when it is in Executive’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s mental or physical incapacity or for any other reason to secure Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

Executive further agrees that Executive’s obligations obligation to execute or cause to be executed, when it is in Executive’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Myomo is unable because of Executive’s mental or physical incapacity or for any other reason to secure Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations Intellectual Property Right covering any Inventions or original works of authorship assigned to the Company Myomo as above, then Executive hereby irrevocably designates and appoints the Company Myomo and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent patent, or copyright copyright, trademark or other registrations thereon with the same legal force and effect as if executed by Executive.

Employee’s obligations under this Paragraph will continue beyond the termination of my employment with the Company, provided that the Company either compensates me at a reasonable rate for my time or reimburses expenses actually spent by me on such assistance at the Company’s request.

Furthermore, Executive agrees to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in any Inventions the Work Product and any copyrights, patents, mask work rights or other intellectual property rights Intellectual Property Rights relating thereto in any and all countriescountries and jurisdictions, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for for, obtain, perfect and obtain assign such rights and in order to assign and convey to the name of the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this AgreementExecutive’s employment with the Company. If the Company is unable because of Executive’s mental or physical incapacity or unable, for any other reason reason, to secure Executive’s signature to apply for execute such instruments or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned papers relating to the Company as aboveWork Product, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Executive’s behalf stead to record the Company’s ownership interest and stead to execute and file any such applications instruments and papers relating to the Work Product and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon in the Company’s name with the same legal force and effect as if executed by Executive. The foregoing agency shall apply to any applications or registrations, including any divisions, continuations, renewals, reissues, and extensions and other instruments and papers, as applicable, now existing or hereafter filed or issued. This agency is coupled with an interest and is irrevocable.

Such assistance shall include the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, assigns and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, trademarks, service marks, mask work rights or other intellectual property rights relating thereto. Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreementhis employment, however caused. If the Company is unable because of Executive’s mental or physical incapacity or unable, for any other reason reason, to secure Executive’s signature to apply for or to pursue any application for any United States or foreign intellectual property rights including patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as aboveprovided herein, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in on Executive’s behalf and stead to execute and file any such applications applications, and to do all other lawfully permitted acts to further the prosecution and issuance of such intellectual property rights, including letters patent or copyright registrations thereon thereon, with the same legal force and effect as if executed by Executive. Executive hereby irrevocably assigns to the Company any and all claims of any nature that Executive now or hereafter has for past, present or future infringement of all proprietary or intellectual property rights assigned to the Company.

Accordingly, to the Employer may act for and in Executive’s the Employee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executivethe Employee.

Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Executive is unable because of Executive’s his mental or physical incapacity or for any other reason to secure Executive’s his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company The Orchard as above, then Executive hereby irrevocably designates and appoints the Company The Orchard and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in Executive’s his behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution processing and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

If the Company is unable because of the Executive’s mental or physical incapacity or for any other reason to secure the Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as the Executive’s agent and attorney in fact, to act for and in on the Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

If the Company is unable because of ExecutiveEmployee’s mental or physical incapacity or for any other reason to secure ExecutiveEmployee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as ExecutiveEmployee’s agent and attorney in fact, to act for and in ExecutiveEmployee’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveEmployee.

If the Company is unable because of the Executive’s 's mental or physical incapacity or for any other reason to secure Executive’s 's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s 's agent and attorney in fact, to act for and in Executive’s 's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

If the Company is unable unable, because of Executive’s mental or physical incapacity or for any other reason reason, to secure Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company company as above, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

If the Company Employer is unable because of Executivethe Employee’s mental or physical incapacity or for any other reason to secure Executivethe Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company Employer as above, then Executive the Employee hereby irrevocably designates and appoints the Company Employer and its duly authorized officers and agents as Executive’s his/her agent and attorney in attorney-in-fact. Accordingly, to the Employer may act for and in Executivethe Employee’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executivethe Employee.

If the Company is unable because of Executive’s Employee's mental or physical incapacity or for any other reason to secure Executive’s Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in Executive’s his behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveEmployee. The foregoing shall not apply to Retained Inventions.

Executive Consultant hereby agrees to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive Consultant further agrees that ExecutiveConsultant’s obligations obligation to execute or cause to be executed, when it is in ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of ExecutiveConsultant’s mental or physical incapacity or for any other reason to secure ExecutiveConsultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s its agent and attorney in fact, to act for and in Executive’s its behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveConsultant.

Executive I further agrees agree that Executive’s obligations my obligation to execute or cause to be executed, when it is in Executive’s my power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s my mental or physical incapacity or for any other reason to secure Executive’s my signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive I hereby irrevocably designates designate and appoints appoint the Company and its duly authorized officers and agents as Executive’s my agent and attorney in attorney-in-fact, to act for and in Executive’s my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executiveme.

Executive Employee further agrees that Executive’s obligations to execute or cause to be executed, when it is in ExecutiveEmployee’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of ExecutiveEmployee’s mental or physical incapacity or for any other reason to secure ExecutiveEmployee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as ExecutiveEmployee’s agent and attorney in fact, to act for and in Executiveon Employee’s behalf and stead solely to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon in accordance with this Agreement with the same legal force and effect as if executed by ExecutiveEmployee.

If In anticipation of the possibility that the Company is might be unable in the future because of Executive’s Employee's mental or physical incapacity or for any other reason to secure Executive’s Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s Employee's agent and attorney in fact, to act for and in Executive’s Employee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveEmployee.

Executive Consultant further agrees that ExecutiveConsultant’s obligations obligation to execute or cause to be executed, when it is in ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of ExecutiveConsultant’s mental or physical incapacity or for any other reason to secure ExecutiveConsultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as ExecutiveConsultant’s agent and attorney in fact, to act for and in ExecutiveConsultant’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveConsultant.

Executive Employee further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in ExecutiveEmployee’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Eltron is unable because of ExecutiveEmployee’s mental or physical incapacity or for any other reason to secure ExecutiveEmployee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company Eltron as above, then Executive Employee hereby irrevocably designates and appoints the Company Eltron and its duly authorized officers and agents as ExecutiveEmployee’s agent and attorney in attorney-in-fact, to act for and in ExecutiveEmployee’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters or patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveEmployee.

If the Company is unable because of Executive’s 's mental or physical incapacity or for any other reason to secure Executive’s 's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s 's agent and attorney in fact, to act for and in Executive’s 's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s my mental or physical incapacity or for any other reason to secure Executive’s signature with respect to any Inventions including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as abovesuch Inventions, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Executive’s behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by Executive.

Patent and Copyright Registrations. Executive Employee agrees to assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem proper or necessary in order to apply for for, register, obtain, maintain, defend, and obtain enforce such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such InventionsInventions and any rights relating thereto, and any copyrights, patents, mask work rights testifying in a suit or other intellectual property proceeding relating to such Inventions and any rights relating thereto. Executive Employee further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of ExecutiveEmployee’s mental or physical incapacity or for any other reason to secure ExecutiveEmployee’s signature with respect to any Inventions including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as abovesuch Inventions, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in Executive’s his behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by ExecutiveEmployee.

Executive Employee further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in ExecutiveEmployee’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s the Employee's mental or physical incapacity or for any other reason to secure Executive’s employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s employee's agent and attorney in fact, to act for and in Executive’s Employee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveEmployee.

The Employee will disclose to the Company of Employer all pertinent information and data with respect thereto, the execution of data. The Employee will execute all applications, specifications, oaths, declarations, assignments and all other instruments that the Company Employer deems necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyEmployer, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any related copyrights, patents, mask work rights or other intellectual property rights relating theretorights. Executive further agrees that Executive’s obligations The Employee's obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall will continue after the termination of this Employment Agreement. If the Company Employer is unable because of Executive’s the Employee's mental or physical incapacity or for any other reason to secure Executive’s the Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company Employer as above, then Executive the Employee hereby irrevocably designates and appoints the Company Employer and its duly authorized officers and agents as Executive’s his agent and attorney in attorney-in-fact. Accordingly, to the Employer may act for and in Executive’s the Employee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executivethe Employee.

Executive Rxxxx agrees to assist the Company, or its designee, at the Company’s 's expense, in every proper way to secure the Company’s 's rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive Rxxxx further agrees that Executive’s obligations Rxxxx’x obligation to execute or cause to be executed, when it is in Executive’s Rxxxx’x power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s Rxxxx’x mental or physical incapacity or for any other reason to secure Executive’s Rxxxx’x signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Rxxxx hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s Rxxxx’x agent and attorney in fact, to act for and in Executive’s Rxxxx’x behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveRxxxx.

The Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Party is unable because of Executive’s mental or physical incapacity or for any other reason to secure Executivesuch Company Party’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company Party as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in attorney-in-fact, to act for and in Executive’s his or her behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

Executive agrees to Consultant shall assist the Company, or its designee, at the Company’s 's expense, in every proper way to secure the Company’s 's rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive further Consultant agrees that Executive’s obligations it is Consultant's obligation to execute or cause to be executed, when it is in Executive’s Consultant's power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s the Consultant's mental or physical incapacity or for any other reason to secure Executive’s Consultant's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s Consultant's agent and attorney in fact, to act for and in Executive’s Consultant's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveConsultant.

The Executive will disclose to the Company of all pertinent information and data with respect thereto, which the Company deems necessary for the execution of all applications, specifications, oaths, declarations, assignments and execute all other instruments that the Company deems necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees nominees, the sole and exclusive rightsright, title and interest in and to such Inventions, and any copyrights, patents, mask work rights rights, or other intellectual property rights relating thereto. The Executive further agrees that the Executive’s obligations obligation to execute or cause to be executed, when it is in the Executive’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable unable, because of the Executive’s mental or physical incapacity or for any other reason reason, to secure Executive’s his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any the Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in the Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive further agrees to assist the CompanyCorporation, or its designee, at the CompanyCorporation’s expense, in every proper way to secure the CompanyCorporation’s rights in any Inventions the Work Product and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company Corporation of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems Corporation shall deem proper or necessary in order to apply for for, register, obtain, maintain, defend, and obtain enforce such rights and in order to assign and convey to the CompanyCorporation, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such InventionsWork Product and any rights relating thereto, and any copyrights, patents, mask work rights testifying in a suit or other intellectual property proceeding relating to such Work Product and any rights relating thereto. The Executive further agrees that Executive’s obligations his obligation to execute or cause to be executed, when it is in Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Corporation is unable because of the Executive’s mental or physical incapacity or for any other reason to secure the Executive’s signature with respect to any Work Product including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as abovesuch Work Product, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents Chairman of the Board of the Corporation (or such other Corporation representative as Executive’s may be designated by the Corporation from time to time) as his agent and attorney in fact, to act for and in Executive’s his behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters patent or copyright registrations thereon such Work Product with the same legal force and effect as if executed by the Executive. The Executive confirms that this power of attorney, being coupled with an interest, is irrevocable.

Patent and Copyright Registrations. The Executive agrees to assist the Company, or its designee, at the Company’s expense, in every proper way way, to secure the Company’s rights in any the Inventions and any copyrights, patents, mask work rights, trade Exhibit 10.4 secret rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, the disclosure . The Executive will disclose to the Company of all pertinent information and data with respect thereto, which the Company deems necessary for the execution of all applications, specifications, oaths, declarations, assignments and execute all other instruments that the Company deems necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees nominees, the sole and exclusive rightsright, title and interest in and to such Inventions, and any copyrights, patents, mask work rights rights, or other intellectual property rights relating thereto. The Executive further agrees that the Executive’s obligations obligation to execute or cause to be executed, when it is in Executive’s the Executive power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable unable, because of the Executive’s mental or physical incapacity or for any other reason reason, to secure Executive’s his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any the Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in the Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

If the Company is unable because of Executive’s mental or physical incapacity or for any other reason to secure Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his agent and attorney in fact, to act for and in Executive’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executive.

Executive agrees to Consultant shall assist the Company, or its designee, at the Company’s expense, in every proper way to secure the Company’s rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive further Consultant agrees that Executiveit is Consultant’s obligations obligation to execute or cause to be executed, when it is in ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executivethe Consultant’s mental or physical incapacity or for any other reason to secure ExecutiveConsultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as ExecutiveConsultant’s agent and attorney in fact, to act for and in ExecutiveConsultant’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by ExecutiveConsultant.

Executive The Employee further agrees that Executive’s obligations his/her obligation to execute or cause to be executed, when it is in Executive’s his/her power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Executive’s mental or physical incapacity or for any other reason to secure Executive’s signature to apply for or to pursue pursuing any application for any United States PRC or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Executive the Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s his/her agent and attorney in fact, to act for and in Executiveon the Employee’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Executivethe Employee.

Patent and Copyright Registrations. Executive Employee agrees to assist the Company, or its designee, at the Company’s expense, expense in every proper way to secure the Company’s rights in any the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including, but not limited to, including the disclosure to the Company of all pertinent information and data with respect thereto, thereto the execution of all applications, specifications, oaths, declarations, assignments and all other instruments that which the Company deems shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, assigns and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Executive Employee further agrees that ExecutiveEmployee’s obligations obligation to execute or cause to be executed, when it is in ExecutiveEmployee’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. Executive Consultant further agrees that ExecutiveConsultant’s obligations obligation to execute or cause to be executed, when it is in ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. Executive Employee further agrees that ExecutiveEmployee’s obligations obligation to execute or cause to be executed, when it is in ExecutiveEmployee’s power to do so, any such instrument or papers shall continue after the termination of this AgreementEmployee’s employment by the Company.
