Common use of Patent and Copyright Registrations Clause in Contracts

Patent and Copyright Registrations. Employee agrees to assist the Company, or its designee, at the Company's expense, in every proper way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's power to do so any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's mental or physical incapacity or for any other reason to secure his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby irrevocably designates and appoints the Company and its duly authorized officers and agents as agent and attorney in fact, to act for and in Employee's behalf and stead, to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

If the Company is unable because of Employee's ’s mental or physical incapacity incapacity, unavailability, or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or patent, copyright registrations or enforcement of other intellectual property rights thereon with the same legal force and effect as if executed by Employee.

If the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature with respect to any Inventions, including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as abovesuch Inventions, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and in Employee's his behalf and stead, to execute and file any such applications papers and oaths, and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by the Employee.

Employee agrees to will assist the Company, or its designee, at the Company's expense, in every proper way to secure the Company's rights in the Inventions Intellectual Property and any copyrights, patents, mask work rights trademarks, domain names or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, thereto and the execution of all applications, specifications, oaths, assignments and all other instruments which that the Company shall deem deems necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, Company and its successors, assigns, assigns and nominees the sole and exclusive rightsright, title and interest in and to such Inventions, Intellectual Property and any copyrights, patents, mask work rights trademarks, domain names or other intellectual property rights relating thereto. Employee further agrees that his Employee’s obligation to execute or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue continues after the termination of this Agreement. If In the event the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to Employee’s assistance in perfecting the Company as aboverights transferred in this Agreement, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent and copyright, trademark or copyright domain name registrations thereon with the same legal force and effect as if executed by Employee. The designation and appointment of the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact is deemed to be coupled with an interest and therefore irrevocable.

Patent and Copyright Registrations. Employee Executive agrees to assist the CompanyMyomo, or its designee, at the Company's Myomo’s expense, in every proper way to secure the Company's Myomo’s rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating Intellectual Property Rights related thereto in any and all countries, including the disclosure to the Company Myomo of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company Myomo shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees Myomo the sole and exclusive rightsright, title and interest in and to such Inventions, Inventions and any copyrights, patents, mask work rights or other intellectual property rights Intellectual Property Rights relating thereto. Employee Executive further agrees that his Executive’s obligation to execute or cause to be executed, when it is in Employee's Executive’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Myomo is unable because of Employee's Executive’s mental or physical incapacity or for any other reason to secure his Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations Intellectual Property Right covering Inventions or original works of authorship assigned to the Company Myomo as above, then Employee herby Executive hereby irrevocably designates and appoints the Company Myomo and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Employee's Executive’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent patent, or copyright copyright, trademark or other registrations thereon with the same legal force and effect as if executed by EmployeeExecutive.

Furthermore, Employee agrees to assist the Company, or its designee, at the Company's expense, in every proper way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countriescountries and jurisdictions, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee further agrees acknowledges that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument instruments or papers shall continue after the termination of this AgreementAgreement or his employment hereunder. If the Company is unable because of Employee's mental or physical incapacity or for any other reason to secure his Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and in Employee's his behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee. The foregoing rights shall also apply to any divisions, continuations, renewals, reissues and extensions of the foregoing, as applicable, now existing or hereafter filed, issued or acquired.

Such assistance shall include the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, assigns and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, trademarks, service marks, mask work rights or other intellectual property rights relating thereto. Employee Executive further agrees that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this Agreementhis employment, however caused. If the Company is unable because of Employee's mental or physical incapacity or unable, for any other reason reason, to secure his Executive’s signature to apply for or to pursue any application for any United States or foreign intellectual property rights including patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as aboveprovided herein, then Employee herby Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Executive’s agent and attorney in fact, to act for and in Employee's on Executive’s behalf and stead, to execute and file any such applications applications, and to do all other lawfully permitted acts to further the prosecution and issuance of such intellectual property rights, including letters patent or copyright registrations thereon thereon, with the same legal force and effect as if executed by EmployeeExecutive. Executive hereby irrevocably assigns to the Company any and all claims of any nature that Executive now or hereafter has for past, present or future infringement of all proprietary or intellectual property rights assigned to the Company.

Employee hereby further agrees that his Employee’s obligation to execute execute, or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

If the Company is unable because of the Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee. Employee’s obligations under this Paragraph will continue beyond the termination of my employment with the Company, provided that the Company either compensates me at a reasonable rate for my time or reimburses expenses actually spent by me on such assistance at the Company’s request.

If the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in on Employee's ’s behalf and stead, stead solely to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon in accordance with this Agreement with the same legal force and effect as if executed by Employee.

Patent and Copyright Registrations. Employee agrees to assist the Company, or its designee, at the Company's expense, in every proper way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, assigns and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's mental or physical incapacity or for any other reason to secure his Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and in Employee's his behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee. The foregoing shall not apply to Retained Inventions.

Employee further agrees that his Employee’s obligation to execute or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Employee Consultant agrees to assist the Company, or its designee, at the Company's ’s expense, in every proper way to secure the Company's ’s rights in the any Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including including, but not limited to, the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, declarations, assignments and all other instruments which that the Company shall deem deems necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee Consultant further agrees that his obligation Consultant’s obligations to execute or cause to be executed, when it is in Employee's Consultant’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's Consultant’s mental or physical incapacity or for any other reason to secure his Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering any Inventions or original works of authorship assigned to the Company as above, then Employee herby Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Consultant’s agent and attorney in fact, to act for and in Employee's Consultant’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by EmployeeConsultant.

Employee agrees to cooperate and assist the Company, or its designee, agents, and representatives, at the Company's ’s expense, in every proper way to secure and perfect the Company's rights ’s rights, title and interest in the Company Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the preparation and execution of all applications, patent applications, specifications, oaths, assignments assignments, statements, declarations, petitions, certificates and petitions for correction and all other instruments which the Company or any government agency shall deem necessary in order to apply for for, prosecute, correct and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Company Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating theretothereto in any and all countries. Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this Agreement without further consideration. In addition, Employee covenants and agrees to take no action that would impair or interfere with the Company’s quiet enjoyment of its sole and exclusive rights, title and interest in and to such Company Inventions after termination of this Agreement. If the Company is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue pursue, prosecute or correct any application for any United States or foreign patents or copyright registrations covering Company Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution prosecution, correction, maintenance and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Employee further agrees that his Employee’s obligation to execute or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Drone USA is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for of any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company Drone USA as above, then Employee herby hereby irrevocably designates and appoints the Company Drone USA and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

If the Company is unable because of Employee's my mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Patent and Copyright Registrations. Employee Xxxxxx agrees to assist the CompanyVaxGen, or its designee, at the CompanyVaxGen's expense, in every proper way to secure the CompanyVaxGen's rights in the Inventions and any copyrights, patents, mask work trademarks, and trade secret rights or other intellectual property rights relating thereto in connection with any such Inventions in any and all countries, including the disclosure to the Company VaxGen of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments or papers which the Company VaxGen shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyVaxGen, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or trademark and other intellectual property rights relating thereto. Employee Xxxxxx further agrees that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company VaxGen is unable unable, because of Employee's Xxxxxx'x mental or physical incapacity or for any other reason reason, to secure his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company VaxGen as above, then Employee herby Xxxxxx hereby irrevocably designates and appoints the Company VaxGen and its duly authorized officers and agents as his agent and attorney in fact, fact to act for and in Employee's his behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by EmployeeXxxxxx.

Patent and Copyright Registrations. The FGX Group and their nominees shall have the right to use and apply for common law and statutory protections of all Developments in any and all countries and jurisdictions. Furthermore, the Employee agrees to assist the Company, members of the FGX Group or its designeetheir designees, at the Company's FGX Group’s expense, in every proper way to secure the Company's FGX Group’s rights in the Inventions Developments and any patents, copyrights, patents, trademark and mask work rights or other intellectual property rights relating thereto in any and all countriescountries and jurisdictions, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyFGX Group, its their successors, assigns, assigns and nominees the sole and exclusive rightsright, title and interest in and to such InventionsDevelopments, and including all rights associated with works of authorship throughout the world, any copyrights, patents, mask work rights rights, trade secrets, or other intellectual property rights relating theretothereto or analogous to those set forth herein. The Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's power to do so executed any such instrument or papers shall continue after the termination of this Agreement. If the Company FGX Group is unable because of the Employee's ’s mental or physical incapacity incapacity, his refusal or for any other reason to secure his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as aboveDevelopments, then the Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in attorney-in-fact, which designation and appointment is coupled with an interest, to act for and in Employee's on his behalf and stead, to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Employee. The foregoing rights shall also apply to any divisions, continuations, renewals, reissues and extensions of the foregoing, as applicable, now existing or hereafter filed, issued or acquired.

If the Company is unable because of the Employee's mental or physical incapacity or for any other reason to secure his employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as employee's agent and attorney in fact, to act for and in Employee's behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Employee agrees to assist the CompanyTALEO, or its designee, at the Company's TALEO’s expense, in every proper way to secure the Company's TALEO’s rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company TALEO of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company TALEO shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyTALEO, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee further agrees that his Employee’s obligation to execute or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company TALEO is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States Canadian or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company TALEO as above, then Employee herby hereby irrevocably designates designate and appoints the Company appoint TALEO and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

If the Company is unable because of the Employee's mental or physical incapacity or for any other reason to secure his Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee's agent and attorney in fact, to act for and in Employee's behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Employee Executive agrees to assist the Company, or its designee, at the Company's ’s expense, in every proper way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee Executive further agrees that his obligation to execute or cause to be executed, executed when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this 2010 Agreement. If the Company is unable because of Employee's Executive’s mental or physical incapacity or for any other reason to secure his Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in fact, to act for and in Employee's Executive’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by EmployeeExecutive.

Employee agrees to assist the CompanyEltron, or its designee, at the Company's Eltron’s expense, in every proper way to secure the Company's Eltron’s rights in the Inventions inventions and any copyrights, copyright patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company Eltron of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company Eltron shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyEltron, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventionsinventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's ’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Eltron is unable because of Employee's ’s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company Eltron as above, then Employee herby hereby irrevocably designates and appoints the Company Eltron and its duly authorized officers and agents as Employee’s agent and attorney in attorney-in-fact, to act for and in Employee's ’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters or patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Patent and Copyright Registrations. Furthermore, the Employee agrees to assist the Company, members of the FGX Group or its designeetheir designees, at the CompanyFGX Group's expense, in every proper way to secure the CompanyFGX Group's rights in the Inventions Developments and any patents, copyrights, patents, trademark and mask work rights or other intellectual property rights relating thereto in any and all countriescountries and jurisdictions, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyFGX Group, its their successors, assigns, assigns and nominees the sole and exclusive rightsright, title and interest in and to such InventionsDevelopments, and including all rights associated with works of authorship throughout the world, any copyrights, patents, mask work rights rights, trade secrets, or other intellectual property rights relating theretothereto or analogous to those set forth herein. The Employee further agrees that his obligation to execute or cause to be executed, when it is in Employee's power to do so executed any such instrument or papers shall continue after the termination of this Agreement. If the Company FGX Group is unable because of the Employee's mental or physical incapacity incapacity, his refusal or for any other reason to secure his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as aboveDevelopments, then the Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in attorney-in-fact, which designation and appointment is coupled with an interest, to act for and in Employee's on his behalf and stead, to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Employee. The foregoing rights shall also apply to any divisions, continuations, renewals, reissues and extensions of the foregoing, as applicable, now existing or hereafter filed, issued or acquired.

Employee The Executive agrees to assist the Companyany Company Party, or its designee, at the Company's expense’s expense (on behalf of the applicable Company Party), in every proper way to secure the Company's Company Party’s rights in the Inventions inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company Party of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company Party shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyCompany Party, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee The Executive further agrees that his obligation to execute or cause to be executed, when it is in Employee's his power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Party is unable because of Employee's mental or physical incapacity or for any other reason to secure his such Company Party’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company Party as above, then Employee herby the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his agent and attorney in attorney-in-fact, to act for and in Employee's his or her behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employeethe Executive.

Employee further agrees that his Employee's obligation to execute or cause to be executed, when it is in Employee's power to do so any such instrument or papers shall continue after the termination of this Agreement. If In anticipation of the possibility that the Company is might be unable in the future because of Employee's mental or physical incapacity or for any other reason to secure his Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee's agent and attorney in fact, to act for and in Employee's behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.

Employee Consultant agrees to assist the Company, or its designee, at the Company's ’s expense, in every proper way to secure procure, secure, maintain, and enforce the Company's ’s rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee , Consultant further agrees that his Consultant’s obligation to execute or cause to be executed, when it is in Employee's Consultant’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's Consultant’s mental or physical incapacity or for any other reason to secure his Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Consultant’s agent and attorney in fact, to act for and in Employee's Consultant’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by EmployeeConsultant.

Employee Consultant agrees to assist the Company, or its designee, at the Company's ’s expense, in every proper way to secure procure, secure, maintain, and enforce the Company's ’s rights in the Inventions and any copyrights, patents, mask work rights or other intellectual property rights relating thereto in any and all countries, including the disclosure to the Company of all pertinent information and data with respect thereto, the execution of all applications, specifications, oaths, assignments and all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees the sole and exclusive rights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights or other intellectual property rights relating thereto. Employee Consultant further agrees that his Consultant’s obligation to execute or cause to be executed, when it is in Employee's Consultant’s power to do so so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable because of Employee's Consultant’s mental or physical incapacity or for any other reason to secure his Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Consultant’s agent and attorney in fact, to act for and in Employee's Consultant’s behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by EmployeeConsultant.

If the Company is unable because of Employee's Employee s mental or physical incapacity or for any other reason to secure his Employee’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering Inventions or original works of authorship assigned to the Company as above, then Employee herby hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as Employee’s agent and attorney in fact, to act for and in Employee's Employees behalf and stead, stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters patent or copyright registrations thereon with the same legal force and effect as if executed by Employee.
