Common use of PATROL VIDEO SYSTEMS Clause in Contracts

PATROL VIDEO SYSTEMS. 1. As part of the law enforcement services to be provided to CITY, COUNTY has provided, or will provide, patrol video systems (hereinafter called “PVS”) that are or will be mounted in patrol vehicles designated by COUNTY for use within CITY service area. 2. SHERIFF has the exclusive right to use said PVS for law enforcement services related to this Agreement. 3. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and installation of Patrol Video Systems that are or will be mounted in patrol vehicles assigned to CITY, and b) recurring costs, as deemed necessary by COUNTY, including the costs of maintenance and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. The costs to be paid by CITY for recurring costs, including maintenance and replacement/upgrade of PVS, are included in the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall not be charged additional amounts for maintenance or replacement/upgrade of said PVS during the period July 1, 20210 through June 30, 20221. 4. If, following the initial acquisition of PVS referenced above, CITY requires PVS for additional patrol cars designated for use in the CITY service area, COUNTY will purchase said additional PVS. Upon demand by COUNTY, CITY will pay to COUNTY a) the full costs of acquisition and installation of said additional PVS, and b) the full recurring costs for said PVS, as deemed necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.

CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2020 through June 30, 202212021. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. CITY shall not be charged additional amounts for maintenance or 22 replacement/upgrade of said PVS during the period July 1, 20210 202015 through 23 June 30, 20221202116. 24 4. If, following the initial acquisition of PVS referenced above, CITY requires 25 PVS for additional patrol cars designated for use in the CITY service area, 26 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 27 CITY will pay to COUNTY a) the full costs of acquisition and installation of 28 said additional PVS, and b) the full recurring costs for said PVS, as deemed Attachment B - Redline Version of Previous Amendment Page 12 of 32 1 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 3 become functionally or technologically obsolete. Said costs related to 4 additional PVS are not included in, and are in addition to, the costs set forth 5 in Attachment Subsection G-2Attachment C and the Maximum Obligation of CITY set 6 forth in Subsection G-2 G-23 of this Agreement. 7 5. COUNTY County will replace and/or upgrade PVS as needed. The costs of 8 replacing/upgrading upgrade PVS shall be paid by COUNTY from the 9 replacement/upgrade funds to be paid by CITY in accordance with the 10 foregoing. CITY shall not be charged any additional charge to replace or 11 upgrade PVSPVS after the cost of PVS set forth in Attachment C and in 12 Maximum Obligation set forth in G-2 has been established in any fiscal year 13 without written notification to the CITY.

Upon demand by COUNTY, 19 CITY will pay to COUNTY a) the full costs of acquisition and installation of 20 said additional PVS, and b) the full recurring costs for said PVS, as deemed 21 necessary by COUNTY, including the costs of maintenance, and 22 contributions to a fund for replacement and upgrade of such PVS when they 23 become functionally or technologically obsolete. Said costs related to 24 additional PVS are not included in, and are in addition to, the costs set forth 25 in Attachment C Subsection G-2 and the Maximum Obligation of CITY set forth in 26 Subsection G-2 G-3 of this Agreement. 27 5. COUNTY will replace and/or upgrade PVS as needed. The costs of 28 replacing/upgrading PVS shall be paid by COUNTY from the replacement/replacement/ 1 upgrade funds to be paid by CITY in accordance with the foregoing. CITY 2 shall not be charged any additional charge to replace or upgrade PVS.

Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation A - Agreement Page 10 of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.39

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 11 installation of Patrol Video Systems that are or will be mounted in patrol 12 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 13 COUNTY, including the costs of maintenance and contributions to a fund for 14 replacement and upgrade of such PVS when they become functionally or 15 technologically obsolete. 16 The costs to be paid by CITY for recurring costs, including maintenance and 17 replacement/upgrade of PVS, are included in the costs set forth in 18 Attachment C B and the Maximum Obligation of CITY set forth in Subsection 19 G-2 of this Agreement unless CITY has already paid such costs. CITY shall 20 not be charged additional amounts for maintenance or replacement/upgrade 21 of said PVS during the period July 1, 20210 2018 2019 through June 30, 2022122 20192020. 23 4. If, following the initial acquisition of PVS referenced above, CITY requires 24 PVS for additional patrol cars designated for use in the CITY service area, 25 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 26 CITY will pay to COUNTY a) the full costs of acquisition and installation of 27 said additional PVS, and b) the full recurring costs for said PVS, as deemed Attachment B - Redline Version of Previous Agreement Page 10 of 23 1 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.and

PATROL VIDEO SYSTEMS. 1. As part of the law enforcement services to be provided to CITY, COUNTY has provided, or will provide, patrol video systems (hereinafter called “PVS”) that are or will be mounted in patrol vehicles designated by COUNTY for use within CITY service area.Continued) 2. SHERIFF has the exclusive right to use said PVS for law enforcement services related to this Agreement. 3. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and installation of Patrol Video Systems that are or will be mounted in patrol vehicles assigned to CITY, and b) recurring costs, as deemed necessary by COUNTY, including the costs of maintenance and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. The costs to be paid by CITY for recurring costs, including maintenance and replacement/upgrade of PVS, are included in the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall not be charged additional amounts for maintenance or replacement/upgrade of said PVS during the period July 1, 20210 through June 30, 20221. 4. If, following the initial acquisition of PVS referenced above, CITY requires PVS for additional patrol cars designated for use in the CITY service area, COUNTY will purchase said additional PVS. Upon demand by COUNTY, CITY will pay to COUNTY a) the full costs of acquisition and installation of said additional PVS, and b) the full recurring costs for said PVS, as deemed necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.

PATROL VIDEO SYSTEMS. 1. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 14 installation of Patrol Video Systems that are or will be mounted in patrol 15 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 16 COUNTY, including the costs of maintenance and contributions to a fund for 17 replacement and upgrade of such PVS when they become functionally or 18 technologically obsolete. 19 The costs to be paid by CITY for recurring costs, including maintenance and 20 replacement/upgrade of PVS, are included in the costs set forth in Attachment C 21 Subsection G-2 and the Maximum Obligation of CITY set forth in Subsection G-2 22 G-3 of this Agreement unless CITY has already paid such costs. CITY shall 23 not be charged additional amounts for maintenance or replacement/upgrade 24 of said PVS during the period July 1, 20210 201514 through June 30, 20221201615. 25 4. If, following the initial acquisition of PVS referenced above, CITY requires 26 PVS for additional patrol cars designated for use in the CITY service area, 27 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 28 CITY will pay to COUNTY a) the full costs of acquisition and installation of 8 // 9 // said additional PVS, and b) the full recurring costs for said PVS, as deemed necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C Subsection G-2 and the Maximum Obligation of CITY set forth in Subsection G-2 G-3 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 9 installation of Patrol Video Systems that are or will be mounted in patrol 10 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 11 COUNTY, including the costs of maintenance and contributions to a fund for 12 replacement and upgrade of such PVS when they become functionally or 13 technologically obsolete. 14 The costs to be paid by CITY for recurring costs, including maintenance and 15 replacement/upgrade of PVS, are included in the costs set forth in 16 Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2020 through June 30, 202212021. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.forth

CITY shall 16 not be charged additional amounts for maintenance or replacement/upgrade 17 of said PVS during the period July 1, 20210 2020 through June 30, 202212021. 18 4. If, following the initial acquisition of PVS referenced above, CITY requires 19 PVS for additional patrol cars designated for use in the CITY service area, 20 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 21 CITY will pay to COUNTY a) the full costs of acquisition and installation of 22 said additional PVS, and b) the full recurring costs for said PVS, as deemed 23 necessary by COUNTY, including the costs of maintenance, and 24 contributions to a fund for replacement and upgrade of such PVS when they 25 become functionally or technologically obsolete. Said costs related to 26 additional PVS are not included in, and are in addition to, the costs set forth 27 in Attachment C and the Maximum Obligation of CITY set forth in Subsection 28 G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs Attachment A - City of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.Laguna Niguel Agreement Page 10 of 35

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 9 installation of Patrol Video Systems that are or will be mounted in patrol 10 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 11 COUNTY, including the costs of maintenance and contributions to a fund for 12 replacement and upgrade of such PVS when they become functionally or 13 technologically obsolete. 14 The costs to be paid by CITY for recurring costs, including maintenance and 15 replacement/upgrade of PVS, are included in the costs set forth in 16 Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2019 through June 30, 202212020. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation A - Agreement Page 10 of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.35

CITY shall not be charged additional amounts for maintenance or 19 replacement/upgrade of said PVS during the period July 1, 20210 20165 through 20 June 30, 2022120176. 21 4. If, following the initial acquisition of PVS referenced above, CITY requires 22 PVS for additional patrol cars designated for use in the CITY service area, 23 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 24 CITY will pay to COUNTY a) the full costs of acquisition and installation of 25 said additional PVS, and b) the full recurring costs for said PVS, as deemed 26 necessary by COUNTY, including the costs of maintenance, and 27 contributions to a fund for replacement and upgrade of such PVS when they 28 become functionally or technologically obsolete. Said costs related to Attachment B - Redline Version of Previous Agreement Page 13 of 29 1 additional PVS are not included in, and are in addition to, the costs set forth 2 in Attachment C Subsection G-2Attachment B and the Maximum Obligation of CITY set 3 forth in Subsection G-2 G-23 of this Agreement. 4 5. COUNTY will replace and/or upgrade PVS as needed. The costs of 5 replacing/upgrading PVS shall be paid by COUNTY from the replacement/replacement/ 6 upgrade funds to be paid by CITY in accordance with the foregoing. CITY 7 shall not be charged any additional charge to replace or upgrade PVS.

As part of the law enforcement services to be provided to CITY, COUNTY 16 has provided, or will provide, patrol video systems (hereinafter called “PVS”) 17 that are or will be mounted in patrol vehicles designated by COUNTY for 18 use within CITY service area. 19 2. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 22 installation of Patrol Video Systems that are or will be mounted in patrol 23 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 24 COUNTY, including the costs of maintenance and contributions to a fund 25 for replacement and upgrade of such PVS when they become functionally 26 or technologically obsolete. 27 The costs to be paid by CITY for recurring costs, including maintenance and 28 replacement/upgrade of PVS, are included in the costs set forth in Attachment 1 Subsection G-2Attachment C and the Maximum Obligation of CITY set forth 2 in Subsection G-2 G-23 of this Agreement unless CITY has already paid such 3 costs. CITY shall not be charged additional amounts for maintenance or 4 replacement/upgrade of said PVS during the period July 1, 20210 20165 through 5 June 30, 2022120176. 6 4. If, following the initial acquisition of PVS referenced above, CITY requires 7 PVS for additional patrol cars designated for use in the CITY service area, 8 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 9 CITY will pay to COUNTY a) the full costs of acquisition and installation of 10 said additional PVS, and b) the full recurring costs for said PVS, as deemed 11 necessary by COUNTY, including the costs of maintenance, and 12 contributions to a fund for replacement and upgrade of such PVS when they 13 become functionally or technologically obsolete. Said costs related to 14 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.forth

CITY shall 14 not be charged additional amounts for maintenance or 15 replacement/upgrade of said PVS during the period July 1, 20210 202019 through 16 June 30, 20221202120. 17 4. If, following the initial acquisition of PVS referenced above, CITY requires 18 PVS for additional patrol cars designated for use in the CITY service area, 19 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 20 CITY will pay to COUNTY a) the full costs of acquisition and installation of 21 said additional PVS, and b) the full recurring costs for said PVS, as deemed 22 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 24 become functionally or technologically obsolete. Said costs related to 25 additional PVS are not included in, and are in addition to, the costs set forth 26 in Attachment C B and the Maximum Obligation of CITY set forth in 27 Subsection G-2 F-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs 28 // Attachment B - Redline Version of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.Previous Agreement Page 10 of 33

CITY shall 10 not be charged additional amounts for maintenance or replacement/upgrade 11 of said PVS during the period July 1, 20210 2016 through June 30, 202212017. 12 4. If, following the initial acquisition of PVS referenced above, CITY requires 13 PVS for additional patrol cars designated for use in the CITY service area, 14 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 15 CITY will pay to COUNTY a) the full costs of acquisition and installation of 16 said additional PVS, and b) the full recurring costs for said PVS, as deemed 17 necessary by COUNTY, including the costs of maintenance, and 18 contributions to a fund for replacement and upgrade of such PVS when they 19 become functionally or technologically obsolete. Said costs related to 20 additional PVS are not included in, and are in addition to, the costs set forth 21 in Attachment C B and the Maximum Obligation of CITY set forth in Subsection G-2 22 F-2 of this Agreement. 23 5. COUNTY will replace and/or upgrade PVS as needed. The costs of 24 replacing/upgrading PVS shall be paid by COUNTY from the 25 replacement/upgrade funds to be paid by CITY in accordance with the 26 foregoing. CITY shall not be charged any additional charge to replace or 27 upgrade PVS.. 28 //

CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2017 through June 30, 202212018. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation A - Agreement Page 10 of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.33

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 11 installation of Patrol Video Systems that are or will be mounted in patrol 12 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 13 COUNTY, including the costs of maintenance and contributions to a fund for 14 replacement and upgrade of such PVS when they become functionally or 15 technologically obsolete. 16 The costs to be paid by CITY for recurring costs, including maintenance and 17 replacement/upgrade of PVS, are included in the costs set forth in 18 Attachment C B and the Maximum Obligation of CITY set forth in Subsection 19 G-2 of this Agreement unless CITY has already paid such costs. CITY shall 20 not be charged additional amounts for maintenance or replacement/upgrade 21 of said PVS during the period July 1, 20210 202019 through June 30, 20221202120. 22 4. If, following the initial acquisition of PVS referenced above, CITY requires 23 PVS for additional patrol cars designated for use in the CITY service area, 24 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 25 CITY will pay to COUNTY a) the full costs of acquisition and installation of 26 said additional PVS, and b) the full recurring costs for said PVS, as deemed 27 necessary by COUNTY, including the costs of maintenance, and 28 contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation B - Redline Version of CITY set forth in Subsection G-2 Previous Agreement Page 10 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.27

PATROL VIDEO SYSTEMS. 1. As part of the law enforcement services to be provided to CITY, COUNTY has provided, or will provide, patrol video systems (hereinafter called “PVS”) that are or will be mounted in patrol vehicles designated by COUNTY for use within CITY service area. 2. SHERIFF has the exclusive right to use said PVS for law enforcement services related to this Agreement. 3. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and installation of Patrol Video Systems that are or will be mounted in patrol vehicles assigned to CITY, and b) recurring costs, as deemed necessary by COUNTY, including the costs of maintenance and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. The costs to be paid by CITY for recurring costs, including maintenance and replacement/upgrade of PVS, are included in the costs set forth in Attachment C B and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall not be charged additional amounts for maintenance or replacement/upgrade of said PVS during the period July 1, 20210 2021 through June 30, 202212022. 4. If, following the initial acquisition of PVS referenced above, CITY requires PVS for additional patrol cars designated for use in the CITY service area, COUNTY will purchase said additional PVS. Upon demand by COUNTY, CITY will pay to COUNTY a) the full costs of acquisition and installation of said additional PVS, and b) the full recurring costs for said PVS, as deemed necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.they

PATROL VIDEO SYSTEMS. 1. CITY shall 14 not be charged additional amounts for maintenance or 15 replacement/upgrade of said PVS during the period July 1, 20210 2017 through 16 June 30, 202212018. 17 4. If, following the initial acquisition of PVS referenced above, CITY requires 18 PVS for additional patrol cars designated for use in the CITY service area, 19 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 20 CITY will pay to COUNTY a) the full costs of acquisition and installation of 21 said additional PVS, and b) the full recurring costs for said PVS, as deemed 22 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 24 become functionally or technologically obsolete. Said costs related to 25 additional PVS are not included in, and are in addition to, the costs set forth 26 in Attachment C B and the Maximum Obligation of CITY set forth in 27 Subsection G-2 F-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs 28 // Attachment A - Agreement Page 10 of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.43

CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2021 through June 30, 202212022. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.forth

As part of the law enforcement services to be provided to CITY, COUNTY 14 has provided, or will provide, patrol video systems (hereinafter called “PVS”) 15 that are or will be mounted in patrol vehicles designated by COUNTY for use 16 within CITY service area. 17 2. SHERIFF has the exclusive right to use said PVS for law enforcement 18 services related to this Agreement. 19 3. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 20 installation of Patrol Video Systems PVS that are or will be mounted in patrol vehicles assigned to 21 CITY, and b) recurring costs, as deemed necessary by COUNTY, including 22 the costs of maintenance and contributions to a fund for replacement and 23 upgrade of such PVS when they become functionally or technologically 24 obsolete. 25 The costs to be paid by CITY for recurring costs, including maintenance and 26 replacement/upgrade of PVS, are included in the costs set forth in Attachment C 27 Subsection G-2 and the Maximum Obligation of CITY set forth in Subsection G-2 28 G-3 of this Agreement unless CITY has already paid such costs. CITY shall 1 not be charged additional amounts for maintenance or replacement/upgrade 2 of said PVS during the period July 1, 20210 201514 through June 30, 20221201615. 3 4. If, following the initial acquisition of PVS referenced above, CITY requires 4 PVS for additional patrol cars designated for use in the CITY service area, 5 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 6 CITY will pay to COUNTY a) the full costs of acquisition and installation of 7 said additional PVS, and b) the full recurring costs for said PVS, as deemed 8 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 10 become functionally or technologically obsolete. Said costs related to 11 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.forth

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 9 installation of Patrol Video Systems that are or will be mounted in patrol 10 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 11 COUNTY, including the costs of maintenance and contributions to a fund 12 for replacement and upgrade of such PVS when they become functionally 13 or technologically obsolete. 14 The costs to be paid by CITY for recurring costs, including maintenance and 15 replacement/upgrade of PVS, are included in the costs set forth in 16 Attachment C and the Maximum Obligation of CITY set forth in Subsection 17 G-2 of this Agreement unless CITY has already paid such costs. CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 2019 through June 30, 202212020. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation A - Agreement Page 10 of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.41

CITY shall not be charged additional amounts for maintenance or 15 replacement/upgrade of said PVS during the period July 1, 20210 20165 through 16 June 30, 2022120176. 17 4. If, following the initial acquisition of PVS referenced above, CITY requires 18 PVS for additional patrol cars designated for use in the CITY service area, 19 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 20 CITY will pay to COUNTY a) the full costs of acquisition and installation of 21 said additional PVS, and b) the full recurring costs for said PVS, as deemed 22 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 24 become functionally or technologically obsolete. Said costs related to 25 additional PVS are not included in, and are in addition to, the costs set forth 26 in Attachment Subsection G-2Attachment C and the Maximum Obligation of CITY set 27 forth in Subsection G-2 G-23 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs 28 // Attachment B - Redline Version of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.Previous Agreement Page 13 of 28

CITY shall 14 not be charged additional amounts for maintenance or 15 replacement/upgrade of said PVS during the period July 1, 20210 2020 through 16 June 30, 202212021. 17 4. If, following the initial acquisition of PVS referenced above, CITY requires 18 PVS for additional patrol cars designated for use in the CITY service area, 19 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 20 CITY will pay to COUNTY a) the full costs of acquisition and installation of 21 said additional PVS, and b) the full recurring costs for said PVS, as deemed 22 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 24 become functionally or technologically obsolete. Said costs related to 25 additional PVS are not included in, and are in addition to, the costs set forth 26 in Attachment C B and the Maximum Obligation of CITY set forth in 27 Subsection G-2 F-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs 28 // Attachment A - City of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.San Clemente Agreement Page 10 of 43

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 11 installation of Patrol Video Systems that are or will be mounted in patrol 12 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 13 COUNTY, including the costs of maintenance and contributions to a fund for 14 replacement and upgrade of such PVS when they become functionally or 15 technologically obsolete. 16 The costs to be paid by CITY for recurring costs, including maintenance and 17 replacement/upgrade of PVS, are included in the costs set forth in 18 Attachment C B and the Maximum Obligation of CITY set forth in Subsection 19 G-2 of this Agreement unless CITY has already paid such costs. CITY shall 20 not be charged additional amounts for maintenance or replacement/upgrade 21 of said PVS during the period July 1, 20210 2017 through June 30, 202212018. 22 4. If, following the initial acquisition of PVS referenced above, CITY requires 23 PVS for additional patrol cars designated for use in the CITY service area, 24 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 25 CITY will pay to COUNTY a) the full costs of acquisition and installation of 26 said additional PVS, and b) the full recurring costs for said PVS, as deemed 27 necessary by COUNTY, including the costs of maintenance, and 28 contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.they

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 11 installation of Patrol Video Systems that are or will be mounted in patrol 12 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 13 COUNTY, including the costs of maintenance and contributions to a fund for 14 replacement and upgrade of such PVS when they become functionally or 15 technologically obsolete. 16 The costs to be paid by CITY for recurring costs, including maintenance and 17 replacement/upgrade of PVS, are included in the costs set forth in 18 Attachment C and the Maximum Obligation of CITY set forth in Subsection 19 G-2 of this Agreement unless CITY has already paid such costs. CITY shall 20 not be charged additional amounts for maintenance or replacement/upgrade 21 of said PVS during the period July 1, 20210 202019 through June 30, 2022120201. 22 4. If, following the initial acquisition of PVS referenced above, CITY requires 23 PVS for additional patrol cars designated for use in the CITY service area, 24 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 25 CITY will pay to COUNTY a) the full costs of acquisition and installation of 26 said additional PVS, and b) the full recurring costs for said PVS, as deemed 27 necessary by COUNTY, including the costs of maintenance, and 28 contributions to a fund for replacement and upgrade of such PVS when they become functionally or technologically obsolete. Said costs related to additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation B - Redline Version of CITY set forth in Subsection G-2 Previous Agreement Page 10 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.27

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 9 installation of Patrol Video Systems that are or will be mounted in patrol 10 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 11 COUNTY, including the costs of maintenance and contributions to a fund for 12 replacement and upgrade of such PVS when they become functionally or 13 technologically obsolete. 14 The costs to be paid by CITY for recurring costs, including maintenance and 15 replacement/upgrade of PVS, are included in the costs set forth in 16 Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement unless CITY has already paid such costs. CITY shall 18 not be charged additional amounts for maintenance or replacement/upgrade 19 of said PVS during the period July 1, 20210 202019 through June 30, 2022120210. 20 4. If, following the initial acquisition of PVS referenced above, CITY requires 21 PVS for additional patrol cars designated for use in the CITY service area, 22 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 23 CITY will pay to COUNTY a) the full costs of acquisition and installation of 24 said additional PVS, and b) the full recurring costs for said PVS, as deemed 25 necessary by COUNTY, including the costs of maintenance, and 26 contributions to a fund for replacement and upgrade of such PVS when they 27 become functionally or technologically obsolete. Said costs related to 28 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation B - Redline Version of CITY set forth in Subsection G-2 Previous Agreement Page 10 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.26

CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 6 installation of Patrol Video Systems that are or will be mounted in patrol 7 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 8 COUNTY, including the costs of maintenance and contributions to a fund for 9 replacement and upgrade of such PVS when they become functionally or 10 technologically obsolete. 11 The costs to be paid by CITY for recurring costs, including maintenance and 12 replacement/upgrade of PVS, are included in the costs set forth in Attachment C 13 Subsection G-2 and the Maximum Obligation of CITY set forth in Subsection G-2 14 G-3 of this Agreement unless CITY has already paid such costs. CITY shall 15 not be charged additional amounts for maintenance or replacement/upgrade 16 of said PVS during the period July 1, 20210 2013 2014 through June 30, 2022117 20142015. 18 4. If, following the initial acquisition of PVS referenced above, CITY requires 19 PVS for additional patrol cars designated for use in the CITY service area, 20 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 21 CITY will pay to COUNTY a) the full costs of acquisition and installation of 22 said additional PVS, and b) the full recurring costs for said PVS, as deemed 23 necessary by COUNTY, including the costs of maintenance, and 24 contributions to a fund for replacement and upgrade of such PVS when they 25 become functionally or technologically obsolete. Said costs related to 26 additional PVS are not included in, and are in addition to, the costs set forth 27 in Attachment C Subsection G-2 and the Maximum Obligation of CITY set forth in 28 Subsection G-2 G-3 of this Agreement. 1 5. COUNTY will replace and/or upgrade PVS as needed. The costs of 2 replacing/upgrading PVS shall be paid by COUNTY from the 3 replacement/upgrade funds to be paid by CITY in accordance with the 4 foregoing. CITY shall not be charged any additional charge to replace or 5 upgrade PVS.

PATROL VIDEO SYSTEMS. 5 1. As part of the law enforcement services to be provided to CITY, COUNTY 6 has provided, or will provide, patrol video systems (hereinafter called “PVS”) 7 that are or will be mounted in patrol vehicles designated by COUNTY for use 8 within CITY service area. 9 2. SHERIFF has the exclusive right to use said PVS for law enforcement 10 services related to this Agreement. 11 3. CITY shall pay COUNTY the full costs to COUNTY of a) the acquisition and 12 installation of Patrol Video Systems that are or will be mounted in patrol 13 vehicles assigned to CITY, and b) recurring costs, as deemed necessary by 14 COUNTY, including the costs of maintenance and contributions to a fund for 15 replacement and upgrade of such PVS when they become functionally or 16 technologically obsolete. 17 The costs to be paid by CITY for recurring costs, including maintenance and 18 replacement/upgrade of PVS, are included in the costs set forth in 19 Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 20 G-23 of this Agreement unless CITY has already paid such costs. CITY 21 shall not be charged additional amounts for maintenance or 22 replacement/upgrade of said PVS during the period July 1, 20210 20176 through 23 June 30, 2022120187. 24 4. If, following the initial acquisition of PVS referenced above, CITY requires 25 PVS for additional patrol cars designated for use in the CITY service area, 26 COUNTY will purchase said additional PVS. Upon demand by COUNTY, 27 CITY will pay to COUNTY a) the full costs of acquisition and installation of 28 said additional PVS, and b) the full recurring costs for said PVS, as deemed 1 necessary by COUNTY, including the costs of maintenance, and contributions to a fund for replacement and upgrade of such PVS when they 3 become functionally or technologically obsolete. Said costs related to 4 additional PVS are not included in, and are in addition to, the costs set forth in Attachment C and the Maximum Obligation of CITY set forth in Subsection G-2 of this Agreement. 5. COUNTY will replace and/or upgrade PVS as needed. The costs of replacing/upgrading PVS shall be paid by COUNTY from the replacement/upgrade funds to be paid by CITY in accordance with the foregoing. CITY shall not be charged any additional charge to replace or upgrade PVS.forth
