Payee Tax Representation. For the purpose of Section 3(f) of the Agreement, Dealer and Counterparty make the representation below: (i) The following representation will apply to Dealer: It is a national banking association organized and existing under the laws of the United States of America, and its federal taxpayer identification number is 00-0000000. (ii) The following representation will apply to Counterparty: Counterparty is a corporation created or organized in the United States or under the laws of the United States and its U.S. taxpayer identification number is 00-0000000. It is “exempt” within the meaning of Treasury Regulation sections 1.6041-3(p) and 1.6049-4(c) from information reporting on Form 1099 and backup withholding.
