Common use of Paying Agents and Transfer Agents and Registrar Clause in Contracts

Paying Agents and Transfer Agents and Registrar. each of the Issuers and the Guarantor appoints Xxx Xxxx xx Xxx Xxxx Xxxxxx XX/NV, Luxembourg Branch and Banque Eni SA at their respective specified offices as Paying Agents in respect of each series of Bearer Notes and Exchangeable Bearer Notes and The Bank of New York Xxxxxx XX/NV, Luxembourg Branch as Transfer Agent and Registrar in respect of each series of Exchangeable Bearer Notes and Registered Notes, unless the Final Terms relating to a Series of Notes lists the Agents appointed in respect of that Series, in which case, only those persons acting through their specified offices shall be appointed in the capacities specified in respect of that Series.
