Duties of the Registrar. The Registrar will keep a record (the “Register”) of the names and addresses of the Holders, the Notes held by each Holder and the transfer, exchange, repurchase, Redemption and conversion of Notes. Absent manifest error, the entries in the Register will be conclusive and the Company and the Trustee may treat each Person whose name is recorded as a Holder in the Register as a Holder for all purposes. The Register will be in written form or in any form capable of being converted into written form reasonably promptly.
Duties of the Registrar. 7.1 The Registrar shall maintain the Register in London in accordance with the Conditions. The Register shall show the aggregate amount of Notes represented by each Global Note at the date of issue and all subsequent transfers and exchanges involving a change in such amounts and the names and addresses of the registered holders (each a “Payee”). On the first Business Day after the Record Date for any interest payment on the Notes, the Registrar shall send payment details in respect of the Payees and the AUD accounts to which transfers should be made to the Fiscal Agent.
7.2 Transfers or exchanges of Notes will be made in accordance with the Conditions, the procedures established for this purpose between Euroclear, Clearstream, DTC and the Registrar, and Euroclear, Clearstream and DTC’s regulations applicable to such transfers or exchanges. Any such transfer or exchange which results in a change in the aggregate principal amount of Notes held by Euroclear, Clearstream and DTC shall be notified by Euroclear, Clearstream and DTC to the Registrar. The Registrar shall promptly enter details of the transfer or exchange in the Register, which entry shall, without further action, cause the aggregate principal amount represented by each Global Note to be amended accordingly.
7.3 The Registrar shall at all reasonable times during office hours make the Register available to the Issuer and the Fiscal Agent or any person authorised by either of them for inspection and for the taking of copies thereof or extracts therefrom, and the Registrar shall deliver to such persons such information contained in the Register or relating to the Notes as they may reasonably request.
Duties of the Registrar. 9.1 The Registrar shall so long as any Note is outstanding:
(a) maintain at its specified office a register (the “Register”) of the holders of the Registered Notes which shall show (i) the principal amounts and the serial numbers of the Notes, (ii) the dates of issue of all Notes, (iii) all subsequent transfers and changes of ownership of Notes, (iv) the names and addresses of the holders of the Notes, (v) all cancellations of Notes, and (vi) all replacements of Notes, and subject to applicable laws and regulations at all reasonable times during office hours, make such copy of the Register available to the Fiscal Agent, the Transfer Agent, the Paying Agents, the Issuer, the Guarantor, any person authorised by the Issuer or the Guarantor or any Noteholder, for inspection. The Issuer shall cause to be kept at its registered office in the Grand Duchy of Luxembourg a register of Noteholders in accordance with the provisions of the Luxembourg law of 10 August 1915, on commercial companies, as amended (the “Luxembourg Companies Act”). In case of discrepancies between the Register held by the Registrar and the register held by the Issuer at its registered office, the register held by the Issuer at its registered office shall prevail for Luxembourg law purposes;
(b) register all transfers of Notes;
(c) receive any document in relation to or affecting the title to any of the Notes including all forms of transfer, forms of exchange, probates, letters of administration and powers of attorney;
(d) maintain proper records of the details of all documents received by itself or the Transfer Agent;
(e) prepare all such lists of registered holders of the Notes as may be required by the Issuer, the Guarantor, the Fiscal Agent, the Paying Agents or any person authorised by any one of them;
(f) subject to applicable laws and regulations at all reasonable times during office hours make the Register available to the Issuer or the Guarantor or any person authorised by either of them or the registered holder of any Note for inspection and for the taking of copies or extracts;
(g) notify each Paying Agent upon its request not less than seven days before each due date for the payment of interest of the names and addresses of all registered holders of the Notes at the close of business on the relevant Record Date and the amounts of their holdings in order to enable such Paying Agent to make or arrange for due payment to the registered holders of the amounts of interest payable in res...
Duties of the Registrar. The Registrar and the Transfer Agent shall hold or shall procure the holding in safe custody of any unauthenticated Global Note Certificates delivered to it in accordance with Clause 3.4 (Authentication, and Deposit of Global Note Certificates) and any Individual Note Certificates delivered to it in accordance with Clause 3.5 (Availability of Individual Note Certificates) and shall ensure that such Global Note Certificates and Individual Note Certificates are authenticated and delivered only in accordance with the terms of this Agreement, the Current Issuer Trust Deed, the Global Note Certificates and the Current Issuer Conditions.
Duties of the Registrar. (a) The Registrar shall maintain a Register which shall show the aggregate principal amount and date of issue of the Notes, the names and addresses of the initial Holders thereof and the dates of all transfers to, and the names and addresses of, all subsequent Holders thereof.
(b) The Registrar shall by the issue of new Notes, the cancellation of old Notes and the making of entries in the Register give effect to transfers of Notes in accordance with the Indenture.
(c) The Trust may from time to time deliver to the Registrar Notes of which it is the Holder for cancellation, whereupon the Registrar shall cancel the same and shall make the corresponding entries in the Register.
(d) As soon as reasonably practicable but in any event within ninety (90) calendar days after each date on which Notes fall due for redemption, the Registrar shall notify the Trust of the serial numbers of any Notes against surrender of which payment has been made and of the serial numbers of any Notes (and the names and addresses of the Holders thereof) which have not yet been surrendered for payment.
(e) The Registrar shall, upon and in accordance with the instructions of the Trust but not otherwise, arrange for the delivery in accordance with the Indenture of any notice which is to be given to the Holders of Notes and shall supply a copy thereof to the Indenture Trustee and the Paying Agent.
(f) The Trust shall ensure that the Registrar has available to it supplies of such Notes as shall be necessary in connection with the transfer of Notes and the exchange of Global Notes for Definitive Notes.
(g) The Registrar shall make available, at the request of the Holder of any Note, forms of proxy in a form and manner which comply with the provisions of the Indenture and shall perform and comply with the provisions of the Indenture.
(h) The Trust shall provide to the Registrar:
(i) specimen Notes in definitive form; and
Duties of the Registrar. (1) The Registrar shall assist the Court, the President of the Court of Appeal, the President of the Court of First Instance and the judges in the performance of their functions. He shall be responsible for the organisation and activities of the Registry under the authority of the President of the Court of Appeal.
(2) The Registrar shall in particular be responsible for:
(a) keeping the registry which includes records of all cases before the Court;
(b) keeping and administering lists drawn up in accordance with Articles 13, 28 and 36 of the Agreement;
(c) keeping and publishing a list of notifications of opt-outs in accordance with Article 58 of the Agreement;
(d) publishing the decisions of the Court, subject to the protection of confidential information;
(e) publishing annual reports with statistical data; and
(f) ensuring that the information on opt-outs in accordance with Article 58 of the Agreement is closely linked with the European Patent Office patent register.
Duties of the Registrar. It shall be a term of the appointment of the Registrar that the Registrar or its designated agent shall:
3.8.1 hold in safe custody all unauthenticated Note Certificates delivered to it in accordance with Clause 3.4.2;
3.8.2 ensure that such Note Certificates are authenticated and delivered only in accordance with the terms hereof, of the Trust Deed and of the Note Conditions; and
3.8.3 establish and maintain the Register at its Specified Office.
Duties of the Registrar. 17.1 The Registrar shall maintain a Register in accordance with this Agreement, the Conditions and the Regulations. The Register shall show the nominal amount and serial numbers of Registered Notes and the date of issue and all subsequent transfers and changes of ownership in respect thereof and the names, addresses and account details of the holders of the Registered Notes. The Registrar shall at all times during usual business hours make the Register available to the Issuer, the Trustee, the Exchange Agent, the Paying Agents and the Transfer Agents or any person authorised by any of them for inspection and for the taking of copies thereof or extracts therefrom and the Registrar shall deliver to such persons all such lists of holders of Registered Notes, their addresses and holdings as they may request.
17.2 The Registrar will receive requests for the transfer of Registered Notes and will also receive Registered Notes deposited with the Transfer Agents, effect the necessary entries, authenticate or cause to be authenticated and issue or cause to be issued new Registered Notes in accordance with the Regulations and deliver or cause to be delivered new Registered Note(s) to the relevant Noteholder or Noteholders.
17.3 The Registrar will make payments of interest in respect of Registered Notes in accordance with the Conditions applicable thereto and this Agreement and will accept surrender of Registered Notes and assist in effecting final repayment of the Notes on their due date for repayment.
17.4 The Registrar will carry out such other acts as may be necessary to give effect to the Conditions.
Duties of the Registrar. (1) The Registrar shall assist the Court, the President of the Court of Appeal, the President of the Court of First Instance and the judges in the performance of their functions. The Registrar shall be responsible for the organisation and activities of the Registry under the authority of the President of the Court of Appeal.
(2) The Registrar shall in particular be responsible for:
(a) keeping the registry which shall include records of all cases before the Court;
(b) keeping and administering lists drawn up in accordance with Articles 13, 28(3) and 34b(2) of the Agreement;
(c) keeping and publishing a list of notifications and withdrawals of opt-outs in accordance with Article 58 of the Agreement;
(d) publishing the decisions of the Court, subject to the protection of confidential information;
(e) publishing annual reports with statistical data; and
(f) ensuring that the information on opt-outs in accordance with Article 58 of the Agreement is notified to the European Patent Office.
Duties of the Registrar. The Registrar shall hold or shall procure the holding in safe custody of any unauthenticated Global Notes delivered to it in accordance with Clause 3.4 (Authentication, Effectuation and Deposit of Global Notes) and any Definitive Notes delivered to it in accordance with Clause 3.5 (Availability of Definitive Notes) and shall ensure that such Global Notes and Definitive Notes are authenticated and delivered only in accordance with the terms of this Agreement, the Trust Deed, the Global Notes and the Conditions.
