The Parties acknowledge that the Partnership is undertaking the Offering and the public, through the Underwriters will, pursuant to the Underwriting Agreement, agree to make a capital contribution to the Partnership of approximately $168 million in cash ($156.2 million net to the Partnership after the underwriting discount of $10.9 million and the Structuring Fee payable to Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated and Barclays Capital Inc.) in exchange for the issuance and sale of 8,000,000 Common Units, representing an aggregate 32.67% limited partner interest in the Partnership.
