Common use of Payment and Dispute Clause in Contracts

Payment and Dispute. If ALON disagrees with the Activity Notice, then following the delivery of the Objection Notice, the chief financial officers of ALON and HEP shall meet or communicate by telephone at a mutually acceptable time and place, and thereafter as often as they reasonably deem necessary and shall negotiate in good faith to attempt to resolve any differences that they may have with respect to matters specified in the Activity Notice. During the 30-day period following the delivery of the Objection Notice, ALON shall have access to the working papers of HEP relating to the Activity Notice. If such differences are not resolved within 30 days following delivery of the Objection Notice, ALON and HEP shall, within 45 days following the delivery of the Objection Notice, submit any and all matters which remain in dispute and which were properly included in the Activity Notice to arbitration in accordance with Section 21(g).
