Common use of Payment for Shares Clause in Contracts

Payment for Shares. At any closing held to consummate any repurchase of the Shares hereunder, the Stockholder shall deliver to the Company the stock certificates representing such Shares, duly endorsed in blank or with duly executed stock powers attached, and the Company shall (i) offset the repurchase price for such Shares against any amounts owed by the Stockholder to the Company under the Note and (ii) deliver to the Stockholder a check in the amount of any remaining balance of the repurchase price or a promissory note as provided in Section 7.1.

Payment for Shares. At any closing held to consummate any repurchase of the any Shares hereunder, the Stockholder shall deliver to the Company the stock certificates representing such Shares, duly endorsed in blank or with duly executed stock powers attached, and the Company shall (i) offset the repurchase price for such Shares against any amounts owed by the Stockholder to the Company under the Note and (ii) deliver to the Stockholder a check in the amount of any remaining balance of the repurchase price or a promissory note as provided in Section 7.15.1.

At any closing held to consummate any repurchase of the Shares Shares, or other Common Stock or Common Stock Equivalents, hereunder, the Stockholder shall deliver to the Company the stock all certificates representing such Shares, or other Common Stock or Common Stock Equivalents, duly endorsed in blank or with duly executed stock powers attached, and the Company shall (i) offset the repurchase price for such Shares against any amounts owed by the Stockholder to the Company under the Note and (ii) deliver to the Stockholder a check in the amount of any remaining balance of the repurchase price or and/or a promissory note as provided in Section 7.15.1 above.

At any closing held to consummate any repurchase of the Shares securities hereunder, the Stockholder shall deliver to the Company the all stock certificates representing such Sharessecurities, duly endorsed in blank or with duly executed stock powers attached, and the Company shall (i) offset the repurchase price for such Shares against any amounts owed by the Stockholder to the Company under the Note and (ii) deliver to the Stockholder a check in the amount of any remaining balance of the repurchase price or and/or a promissory note as provided in Section 7.15.1 above.
