Common use of Payment in Accordance with Determination Clause in Contracts

Payment in Accordance with Determination. Within five (5) days after resolution, by agreement of the Parties, of the dispute which was the subject of the Objection Notice or, failing such resolution, within five (5) days after the final determination of the arbitrator, the Vendor or the Purchaser, as the case may be, shall pay to the other the amount by which the Purchase Price is to be adjusted as a result of such resolution or final determination in the manner contemplated by Section 3.3.

Payment in Accordance with Determination. Within five (5) days after resolution, by agreement of the Parties, of the dispute which was the subject of the Objection Notice or, failing such resolution, within five (5) days after the final determination of the arbitratorIndependent Auditor, the Vendor Purchaser may make a claim against the Escrowed Shares in accordance with the Escrow Agreement in an amount as agreed to or as determined by the Purchaser, as the case may be, shall pay to the other the amount by which the Purchase Price is to be adjusted as a result of such resolution or final determination in the manner contemplated by Section 3.3Independent Auditor.
