Payment of 1997 Taxes. The Operating Partnership is hereby authorized by each of the Contributors with respect to its respective Property, in the Operating Partnership's sole discretion, to file any applicable proceeding for the 1997 tax roll for a reduction of the assessed valuation of the Property. The refund of Taxes, net of all expenses incurred in connection therewith, if any, for any tax year for which the Contributor(s) or the Operating Partnership shall be entitled to share in the refund shall be divided between the appropriate Contributor(s) and the Operating Partnership in accordance with the apportionment of Taxes pursuant to the provisions hereof. No Contributor shall be liable for any such expenses that exceed its apportionment of Taxes.
