Payment of Fees and Billing. Dealer agree to pay the fees for the Services in the amounts set forth in the online registration process or, if an order form was used, on the order form. Shift Digital may increase fees by giving Dealer not less than sixty (60) days written notice prior to the effective date of the price increase. If Dealer fails to pay for the Services timely through its Acura parts account, Dealer agrees to pay to Shift Digital, in addition to the fees for the Services: (i) a finance charge equal to the lower of 1.5% per month or the maximum amount permitted by law, and (ii) all costs incurred in connection with collection of past due amounts (including collection agency fees and reasonable attorney fees). In addition to the other rights reserved hereunder, Shift Digital expressly reserves the right to terminate the Services and disable Dealer’s access to the Services for non-payment.

Dealers in other states will be notified if Services become taxable in their state. Regardless of whether Dealer is notified, Dealer is responsible for all applicable local, state, federal, and any other taxes imposed on the purchase of Services, if any. If Dealer reasonably disputes any fees, Dealer shall pay the undisputed fees and submit written notice of the claim (with sufficient detail of the nature of the claim, the fees in dispute and information necessary to identify the affected Services(s)) for the disputed amount. All claims shall be submitted to Shift Digital in writing within ninety (90) days from the date of the fees incurred for Services. Dealer waives the right to dispute any charges not disputed within such ninety (90) day period. In the event the dispute is resolved against Dealer, Dealer shall pay such amounts plus interest at the rate references in this Section 11.

Retailer agrees to provide proper authorization to allow Shift Digital to debit Retailer’s bank account to collect fees due for the Services. All fees owed by Retailer to third parties (for example, financial institutions, financial processors, and in accordance with merchant account providers), are Retailer’s sole responsibility. Retailer is responsible for the terms ofaccuracy of credit card or ACH account information which Retailer provides to Shift Digital and must promptly inform Shift Digital of any changes thereto. If Retailer is paying by credit card, Dealer's Acura parts statement; provided, that payment for the Services is on a pre-paid basis and Retailer is charged on a periodic basis (as specified in the event billing through the Acura parts statement is not feasibleonline registration process or order form, Shift Digital may invoice Dealer directly e.g., monthly, quarterly, etc.), for the Services and Dealer Retailer is responsible for maintaining accurate and current credit card information. In addition to the other rights reserved hereunder, Shift Digital expressly reserves the right to terminate the Services and disable Dealer’s access to the Services for non-payment. If Dealer reasonably disputes any fees, Dealer shall pay the undisputed fees and submit written notice of the claim (with sufficient detail of the nature of the claim, the fees in dispute and information necessary to identify the affected Service(s)) for the disputed amount. Shift Digital may also invoice Dealer directly on a monthly basis for the Services and Services. Dealer agrees to pay such invoice within 45 days immediately upon the date of receiptinvoice. Cancellations that occur on or before the 10th day of each calendar month will be billed effective as of the end of that month, and Dealer will be invoiced for the remainder Services and will be responsible for payment through the end of that month. Cancellations that occur after the 10th day of any the month will be effective at the end of the following month and you will be billed for the Services, and be responsible for payment of the Services, for the remainder of that month and the following month. By entering your billing information, Dealer is authorizing Shift Digital to charge your credit card or withdraw funds from a bank account for use of the Services. Dealer is responsible for maintaining accurate and current account information. If a charge for Services is denied for any reason, use of the services will be terminated. Services provided are on a pre-paid basis and Dealer is charged on a monthly cadence. Please note a 3.5% processing fee will be applied to all credit card interactions. Certain products may incur applicable state taxes depending on where the Dealer resides. Dealers will be notified on the invoice for Services subject to applicable state taxes. Regardless of whether Dealer is notified, Dealer is responsible for all applicable local, state, federal, and any other taxes imposed on the purchase of Services, if any. Except as set forth otherwise herein, all charges under this Agreement will be due and payable as specified on and consistent with the payment terms of Dealer's Acura parts statement. Shift Digital may increase fees by giving Dealer not less than sixty (60) days written notice prior to the effective date of the price increase. If Dealer fails to pay for the Services timely through its Acura parts accounttimely, Dealer agrees to pay to Shift Digital, in addition to the fees for the Services: (i) a finance charge equal to the lower of 1.5% per month or the maximum amount permitted by law, and (ii) all costs incurred in connection with collection of past due amounts (including collection agency fees fees, reasonable attorneys’ fees, and reasonable attorney feescourt costs). In addition to the other rights reserved hereunder, Shift Digital expressly reserves the right to terminate the Services and disable Dealer’s access to the Services for non-payment.

Payment of Fees and Billing. Dealer agree Retailer agrees to pay the fees for the Services in the amounts set forth in the online registration process or, if an order form was used, on the order form. The fees Retailer agrees to pay for the Services shall be billed to and Dealer via credit card or ACH. If Retailer pays for the Services via credit card, Retailer agrees to pay the credit card processing fee included in the billing statement/invoice. Retailer authorizes Shift Digital to charge Retailer’s credit card or debit Retailer’s bank account via ACH for the fees for the Services through(including charging Retailer’s credit card for the credit card processing fee.) Retailer agrees to provide proper authorization to allow Shift Digital to debit Retailer’s bank account to collect fees due for the Services. All fees owed by Retailer to third parties (for example, financial institutions, financial processors, and in accordance with merchant account providers), are Retailer’s sole responsibility. Retailer is responsible for the terms ofaccuracy of credit card or ACH account information which Retailer provides to Shift Digital and must promptly inform Shift Digital of any changes thereto. If Retailer is paying by credit card, Dealer's Acura parts statement; provided, that payment for the Services is on a pre-paid basis and Retailer is charged on a periodic basis (as specified in the event billing through the Acura parts statement is not feasibleonline registration process or order form, Shift Digital may invoice Dealer directly e.g., monthly, quarterly, etc.), for the Services and Dealer Retailer is responsible for maintaining accurate and current credit card information. If Retailer is paying by Credit Card, Retailer agrees to pay such invoice within 45 days any additional fees associated as outlined in the online registration process. If credit card charges for the Services are denied for any reason, use of receiptthe Services will be terminated. Cancellations that occur on or before the 10th day of each calendar month will be billed for the remainder of that month. Cancellations that occur after the 10th of any month will be billed for the remainder of that month and the following month. Any changes in advertising packages (e.g., to increase or reduce the amount of the package) will take effect as of the first day of the month following the month in which Dealer Retailer requests the change so long as Dealer Retailer makes the request not less than five (5) business days prior to the end of the month.
