Payment of Interest; Maturity. Interest on this promissory note (this “Note”) will accrue from the Issue Date at a rate per annum equal to the LIBOR Rate (as defined below) plus 5.00%, and shall be payable in cash on the last day of each calendar quarter of each year (each such quarter, an “Interest Period” and each such date, a “Interest Payment Date”) until the earlier of (x) February 12, 2023 and (y) provided that the Secured Notes are still outstanding, the date that is five Business Days prior to the date which the Office of the Commissioner of Insurance of the State of Wisconsin has approved for the repayment of all of the outstanding principal amount of all Surplus Notes issued by the Ambac Note Issuer (the “Maturity Date”); provided that the first Interest Payment Date shall be June 30, 2018, and the first Interest Period shall commence on the date first written above and end on June 30, 2018. Interest on this Note shall be computed on the basis of a 360-day year of twelve 30-day months. All outstanding principal hereunder and all accrued but unpaid interest thereon will be due and payable on the Maturity Date.

Payment of Interest; Maturity. (a) Interest on the Notes shall be payable in cash on the 30th day of each March, June, September and December, commencing September 30, 2005 (each such date, a "Payment Date") provided, however, that if the Company fails to pay any portion of the cash interest due on any Interest Payment Date or within five Business Days thereafter, the portion of the interest not so paid on such Interest Payment Date shall be added, effective as of such Interest Payment Date, to the outstanding principal amount of the Note, as provided in the Note. Interest payable on any Payment Date or on the date of maturity will be the amount of interest accrued from and including the date of original issuance or from and including the most recent Payment Date on which interest has been paid or duly made available for payment to but excluding the Payment Date or the date of maturity, as the case may be. Notwithstanding the foregoing and notwithstanding anything set forth in Section 2.2(b) to the contrary, the Notes shall bear interest (so computed) after the occurrence and during the continuance of an Event of Default, to the extent permitted by Law, at a rate per annum equal to the sum of (i) the Applicable Rate plus (ii) 2% (the "Default Rate"); in such instance and during the continuance of any Event of Default the portion of such interest allocable to clause (ii) above shall be payable in cash on demand.

In accordance with the Secured Notes Indenture, after a Benchmark Transition Event and its related Benchmark Replacement Date have occurred, the amount of interest that will be payable for each Interest Period will be an annual rate equal to the sum of the Benchmark Replacement and the Margin. However, if the Holder (or its designee) determine that a Benchmark Transition Event and its related Benchmark Replacement Date have occurred with respect to the then-current Benchmark, but for any reason the Benchmark Replacement has not been determined as of the relevant LIBOR Interest Determination Date, the interest rate for the applicable Interest Period will be equal to the interest rate for the immediately preceding Interest Period, as determined by the Holder (or its designee).   • Payment of Interest The Borrower to which a Loan has been made shall pay accrued interest on that Loan on the last day of each Interest Period (and, if the Interest Period is longer than six Months, on the dates falling at six monthly intervals after the first day of the Interest Period).

  • Extension of Interest Payment Period The Company shall have the right, at any time and from time to time during the term of the Debentures so long as no Event of Default has occurred and is continuing, to defer payments of interest by extending the interest payment period of such Debentures for a period not exceeding 20 consecutive quarters (the "Extended Interest Payment Period"), during which Extended Interest Payment Period no interest shall be due and payable; provided that no Extended Interest Payment Period may extend beyond the Maturity Date or end on a date other than an Interest Payment Date. No interest shall be due and payable during an Extended Interest Payment Period, except at the end thereof, but the Company may prepay at any time all or any portion of the interest accrued during an Extended Interest Payment Period.

  • Repayment of Interest and Principal Except as otherwise provided herein, the Company will repay the outstanding principal amount of this Note within fourteen (14) Business Days of the Offering Funding Date (the “Maturity Date”). This Note does not bear interest. At the option of the Lender, funds available for repayment of the loan may be held in a Company account, interest free, after the Maturity Date. Such funds shall not be used or otherwise pledged until such time as the Company and Lender have entered into another note.

Notwithstanding the foregoing, during the continuance of an Event of Default, the Borrowers shall pay to the Agent for the account of each Lender interest at the Post-Default Rate on the outstanding principal amount of any Loan made by such Lender, on all Reimbursement Obligations and on any other amount payable by the Borrowers hereunder or under the Notes held by such Lender to or for the account of such Lender (including without limitation, accrued but unpaid interest to the extent permitted under Applicable Law).   • Payment at Maturity On the Final Maturity Date or any accelerated maturity of the Loan, the Borrower will pay to the Agent for the account of the Lenders an amount equal to the portion of the Loan then due, together with all accrued and unpaid interest thereon and all other Credit Obligations then outstanding.

  • Final Maturity The Stated Maturity Date for any Note will be the date so specified in the Supplement, which shall be no later than 397 days from the date of issuance.
