Payment Prior to Maturity of Obligations. Each of the undersigned agrees that if any Event of Default shall occur under Section 12.1.3 of the Credit Agreement with respect to the Parent or any Borrower at a time when any of the Liabilities may not then be due and payable, such undersigned will pay to the Administrative Agent for the account of the Lender Parties forthwith upon demand the full amount that would be payable hereunder by such undersigned if all Liabilities were then due and payable.
