Common use of Payments Due Upon Termination of Employment Clause in Contracts

Payments Due Upon Termination of Employment. The provisions of subsections (d)(1) and (d)(3) of this Section shall apply to any Termination of Employment, whether occurring prior to, at the time of or at any time following a Change in Control (as defined in subsection (f)(2) of this Section); and the provisions of subsection (d)(2) of this Section shall apply only to any Termination of Employment prior to a Change in Control.

The provisions of subsections (d)(1), (d)(2) and (d)(3) of this Section shall apply only to any Termination Terminations of Employment, whether Employment occurring prior to, at the time of to or at any time following more than one year after a Change in Control (as defined in subsection in (f)(21) of this Section); and the provisions of subsection (d)(2e) of this Section shall apply only to any Termination Terminations of Employment prior to occurring at the time of or at any time within one year following a Change in Control.
